KWM advises on the next wave of SurfStitch’s business renewal

King & Wood Mallesons (KWM) has advised global action sports and youth apparel retailer, SurfStitch Group Limited, on the A$17 million sale of its surfboard manufacturing business, Surf Hardware International (SHI).

The sale of SHI to a wholly owned subsidiary of Gowing Brows Limited represents an important step in SurfStitch’s ongoing renewal process.

The KWM team was led by Matt Egerton-Warburton, Shannon Finch and Oliver Kabongo.

Mr Egerton-Warburton said the strategic divestment of SHI is a positive outcome for SurfStitch.

DLA Piper advises ABRY Partners on sale of Thomson Online Benefits

DLA Piper  has advised ABRY Partners and the management sellers on the sale of Thomson Online Benefits to Mercer Limited, a wholly-owned subsidiary of Marsh & McLennan Companies.

Thomson Online Benefits is a leading global benefits software business with its award-winning Darwin platform having in excess of 1 million users across 80 countries.

Nordic Capital and Apax France divest their respective stakes in Unilabs

Private equity funds Nordic Capital Fund VI and Apax France VII have agreed to divest their respective stakes in Unilabs to Apax IX, advised by Apax Partners LLP. The transaction marks the successful completion of the joint ownership between funds advised by Apax Partners LLP, Nordic Capital and Apax Partners France (jointly with Altamir), which saw Unilabs taken private from the Swiss stock exchange in November 2007 and merged with the diagnostic division of pan-European healthcare provider Capio in 2008. Financial terms of the transaction are not being disclosed.

White & Case Advises Smithfield Group on CAN$1.13 Billion Sale of Innovia to CCL Industries

White & Case LLP has advised The Smithfield Group, managing shareholder of Innovia Group, on the CAN$1.13 billion (€810 million) sale of Innovia to CCL Industries Inc.

The transaction is subject to regulatory and other change of control approvals and customary completion procedures, with closing expected by the end of the first quarter of 2017.

Osborne Clarke advises senior management team of Leisure Pass Group on MBO

Osborne Clarke has advised the senior management team of Leisure Pass Group on its secondary management buyout (“MBO”) by Exponent Private Equity, which invests in UK-headquartered businesses with enterprise values between £75m and £350m.

Leisure Pass Group is an award-winning sightseeing and tourism technology specialist, which develops and manages city passes in some of the world’s top destinations. The exiting private equity backer of the group was Primary Capital.

Disposal and Financing of Sasa Demarle group

De Pardieu Brocas Maffei advised the managers (Patrice Jacquelin group’s founder) in connection with the sale of Sasa Demarle by Weinberg Capital Partners and the managers to the investment fund Argos Soditic.

The firm also advised Idinvest Partners and Céréa Partnenaire in connection with the financing of the debt for this acquisition.

The Sasa Demarle Group is the world leader in the design and manufacture of equipment mainly for bakery and pastry professionals.

KWM acts on $340 million ASG acquisition

King & Wood Mallesons (KWM) has advised leading ASX listed IT managed service provider, ASG Group Limited, on its $340 million acquisition by Japanese buyer Nomura Research Institute Ltd (NRI) by way of a scheme of arrangement.

KWM’s M&A and Dispute Resolution practice groups acted on the acquisition, which received overwhelming shareholder support.

The firm worked alongside the ASG merger team, Citi, PwC, Euroz and NRI.

Czech Republic: Schoenherr advises ContourGlobal on the sale of its Czech solar energy business

Schoenherr has advised ContourGlobal erneuerbare Energie Europa GmbH ("ContourGlobal"), a subsidiary of the US entity ContourGlobal L.P., on the sale of its solar energy business in the Czech Republic to China Central and Eastern Europe Investment Co-operation Fund SCS SICAV-SIF ("China-CEE Fund") via CEE Equity Partners Ltd.
