Göteborg Energi and Skövde Municipality divest of Skövde Biogas to Torran Gas

Göteborg Energi AB and Skövde Municipality have entered into an agreement with Torran Gas Holding AB regarding the transfer of Skövde Biogas AB to Torran Gas Holding AB. The transfer is expected to be completed in March 2017.

Skövde Biogas produces and sells biogas and biofertiliser. The company is currently owned by Göteborg Energi (51%) and Skövde Municipality (49%).

Heptares Therapeutics Ltd acquires G7 Therapeutics AG

On December 14, 2016, Heptares Therapeutics Ltd, the wholly-owned subsidiary of Sosei Group Corporation based in Hertfordshire (UK), successfully completed the acquisition of all shares in G7 Therapeutics AG for a total purchase price of CHF 12 million.

G7 Therapeutics AG is a Swiss-based privately held drug discovery and development company with a focus on GPCR-targeted structure-based drug design and development. Lenz & Staehelin advised the sellers and G7 Therapeutics AG in this transaction.

Harbour BioMed, a newly established cancer therapies company based in Shanghai, today announced it has bought Harbour Antibodies BV for cash and an equity stake in Harbour Biomed in order to form a new oncology biotech.

The acquisition was financed by Harbour BioMed investors, Advantech Capital and Legend Capital, two leading China-focused investors with a particular emphasis on life sciences.

Advising AREVA in connection with the sale of AREVA TA

Advising AREVA in connection with the signature of the agreement for the sale of all its shares held in its subsidiary AREVA TA to a consortium of buyers made up of the French Government’s Agency of State Holdings (Agence des Participations de l’Etat – APE, 50.32% of the capital), the French Alternative Energies and Atomic Energy Commission (Commissariat à l’énergie atomique et aux énergies alternatives – CEA, 20.32% of the capital) and DCNS (20.32% of the capital). EDF will stay a shareholder (9.03% of the capital).

Cuatrecasas advises Pernod Ricard on the sale of the brandy and wine company Domecq

The transaction was structured through the Mexican and Spanish subsidiaries of the Pernod Ricard Group

The Pernod Ricard Group, a leading French multinational in the production of wines and spirits, has agreed to sell the Domecq brand and all of the wine, spirits, and brandy businesses associated with it worldwide. The buyer is Bodegas Las Copas, a joint venture owned equally by Spanish company González Byass and Filipino group Emperador.

Vinge advises Creades in connection with Altor’s offer for Transcom

Altor has announced a public cash offer to the shareholders of Transcom WorldWide AB. The offer values Transcom at around SEK 2,294 million.

Vinge (capital markets and public M&A partner Erik Sjöman) advises Creades, which is one of Transcom’s largest shareholders and which has undertaken to accept the offer subject to certain conditions.

Travers Smith advises management in relation to Onex's investment in Parkdean Resorts

Travers Smith LLP has advised management on the acquisition by Onex of Parkdean Resorts.

Parkdean Resorts was created through the 2015 merger of Parkdean Holidays and Park Resorts creating the UK's sector leading holiday park business with 73 holiday parks across England, Scotland and Wales, selling more than 500,000 holidays and short breaks a year. The business employs over 6,000 staff during the peak holiday season.

The transaction is subject to FCA approval and is expected to close in the first quarter of 2017.
