Debevoise Advises FWD in Sale of Pension Business to Sun Life HK

Debevoise & Plimpton LLP is advising FWD Life Insurance Company (Bermuda) Limited ("FWD") in the sale of its pension business, consisting of Mandatory Provident Fund ("MPF") and Occupational Retirement Schemes Ordinance ("ORSO") businesses to Sun Life Hong Kong Limited ("Sun Life").

As part of the sale, FWD and Sun Life will also enter into a 15-year strategic distribution agreement allowing FWD’s tied agency to distribute Sun Life’s MPF and ORSO products in the Hong Kong market.

Mills & Reeve advise Arleigh Group on sale to NASDAQ company

We have advised long-standing client Arleigh Group, a specialist wholesaler of equipment and spares to the holiday home, motorhome and inland waterways markets, on its sale to NASDAQ-listed LKQ Corporation.

From its base in Nuneaton, Arleigh supplies more than 13,000 individual items of stock every day to more than 4,000 trade accounts, turning over £23.4 million last year. Until the sale the business was backed by NVM Private Equity.

Ashurst acts in A$82m sale of Pretty Girl Fashion Group

Ashurst has advised Consolidated Press Holdings Pty Limited (Seller) on its sale of Pretty Girl Fashion Group to Noni B Limited (Buyer).

The deal is worth up to A$82 million, payable in cash and Noni-B shares. An earn-out will also apply.

The acquisition will result in the Buyer, which is listed on the ASX, becoming one of the largest speciality retailers in Australia. The acquisition is to be funded by debt and an accelerated non-renounceable rights issue.

Gide on the privatisation of the Nice and Lyon airports

On 28 July 2016, the French government announced that it had selected the prospective purchasers for its shareholdings in airport companies Aéroports de la Côte d’Azur (ACA) and Aéroports de Lyon (ADL).

ACA’s capital is currently 60%-held by the State and 40% by the Nice-Côte d’Azur Chamber of Commerce and Industry, the Provence-Alpes-Côte-d’Azur Region, the Alpes-Maritimes Département and the Nice-Côte d’Azur metropolitan authorities.
