Truworths International acquires footwear retailer Office for £256 million

Travers Smith LLP has advised long standing client Silverfleet Capital and all other selling shareholders on the sale of footwear retailer Office Retail Group ("Office") to Truworths International ("Truworths") for approximately £256 million.

The transaction is due to close in December 2015 and is subject to approval by the South African Reserve Bank.

The Travers Smith team was led by Private Equity partner James Renahan and also included Tax partners Jessica Kemp and Mahesh Varia and corporate associates Tamara Kilner and James Parker.

Osborne Clarke advises Acano on its $700m acquisition by Cisco

Osborne Clarke has advised Acano (UK) Limited, who has been acquired by Cisco Systems Holdings UK Limited, a UK subsidiary of Cisco Systems, Inc for a value of $700m.

Acano (UK) Limited was founded in 2012 to provide online collaboration platforms via audio, web and video conferencing. Based in London, Acano’s 170+ employees operate across four continents with other bases in Norway, Sweden, Australia and the USA.

The share purchase agreement was signed on (20 November 2015) and is expected to complete in the next few months.

Osborne Clarke advises DailyDeal on its sale to MenschDanke

Osborne Clarke has advised DailyDeal GmbH and Fabian und Ferry Heilemann on its sale to MenschDanke GmbH. The company is active in Germany and Austria.

With more than one million visits per month Daily Deal GmbH has been the market leader alongside Groupon over the course of the past fiscal year, and generated an eight digit revenue. The company was founded in 2009 by Fabian and Ferry Heilemann and was sold to Google in 2011, being legally advised by Osborne Clarke. Fabian und Ferry Heilemann bought back the company in 2013 with legal assistance of Osborne Clarke.

Shoosmiths advises on £100m sale of the Hamleys group of companies

Shoosmiths has advised the shareholders of Ludendo Enterprises UK Limited (LEUK) on the sale of the entire issued share capital of the trading group that operated under the world famous 'Hamleys' brand.

Family run business Ludendo has a portfolio of over 300 stores including toy retailers La Grande Récré and Franz Carl Weber. Shoosmiths acted for the management team of the Hamleys group in 2012 when it was bought by LEUK in a £60m deal.

Eversheds advises Holidaybreak on sale of adventure travel companies

Law firm Eversheds has advised Holidaybreak on the sale of Explore Worldwide and its group of companies. Holidaybreak Limited, a subsidiary of international luxury travel operator Cox and Kings, has sold its division of adventure travel companies to Hotelplan (U.K. Group) Limited, the parent company of specialist tour operators including Inghams and Inntravel.

The Eversheds team included Nicola Brookes (Senior Associate, Corporate) and Elizabeth Tindall (Associate, Corporate) assisted by Helen Yeung (Associate, Corporate) and David Smith (Principal Associate, Tax).

Linklaters advises on £71bn acquisition of SABMiller by AB InBev

Linklaters has advised SABMiller plc on its £71bn recommended acquisition by Anheuser-Busch InBev SA/NV.

The deal, which is subject to regulatory approvals, is the largest ever offer for a UK company.  If it completes, it will be the world’s third largest takeover ever and will create a global brewer and one of the world's leading consumer products companies.

Osborne Clarke advises Business Growth Fund and the Intrapharm Management Team on the sale of Intrapharm Laboratories Ltd.

International legal practice, Osborne Clarke, has advised Business Growth Fund (BGF) and the Management Team of Intrapharm Laboratories Ltd (Intrapharm) on the disposal of the company to German pharmaceutical company RIEMSER Pharma GmbH, following a period of sustained growth.

Osborne Clarke advised BGF when it invested £2m in Intrapharm in 2014.
