Bingham Team Advises Shape in TetraLogic Sale

Bingham, led by partner Will Perkins, represented Shape Pharmaceuticals Inc. in a sale to TetraLogic Pharmaceuticals Corporation. Shape is a privately held biotechnology company that specializes in developing a novel tissue-targeted gel formulation HDAC inhibitor, currently used in clinical trials to treat stage IA-IIA Cutaneous T-Cell Lymphoma (CTCL). The merger adds a second clinical-stage oncology compound to Tetralogic’s portfolio of future developments and products. The Bingham team also included partner Matt Schnall, counsel Jason Rodriguez and associate Stef Lefebvre.

Sheffield Telecoms Business Bought Out By Darwin Private Equity

Fast-growing Yorkshire based telecommunications provider, ASK4, has been acquired by Darwin Private Equity in a multi-million pound deal. ASK4 specialises in providing WiFi, broadband and IPTV services to student accommodation buildings as well as private residential developments and serviced offices. The business was founded by Jonathan Burrows in 2000, employs more than 100 staff and in 2013 recorded turnover of £10.2m.

Abbott Labs Acquires CFR Pharmaceuticals

Davis Polk is advising Deutsche Inversiones Limitada as financial adviser to CFR Pharmaceuticals in connection with its approximately $2.9 billion acquisition by Abbott Laboratories. The transaction is expected to close by the end of the third quarter of 2014.

CFR Pharmaceuticals, headquartered in Santiago, Chile, participates in 15 Latin American markets and currently markets more than 1,000 products. Abbott is a global health care company devoted to improving life through the development of products and technologies that span the breadth of health care.

Norton Rose Fulbright advises IMPG on the disposal of Fivia to WideOrbit

Norton Rose Fulbright has advised one of Australia’s largest privately-owned marketing services groups IPMG, on the disposal of Fivia, a digital advertising management software provider, to the leading provider of advertising management software for media companies, WideOrbit.

Headquartered in Paris, France with U.S. operations based in New York, Fivia is the longest established provider of automated inventory, order and billing management software designed for online advertising.

Clifford Chance advises HgCapital on the sale of Schleich to Ardian

Clifford Chance has advised HgCapital on the sale of toy manufacturer Schleich GmbH, Schwabisch Gmünd (Germany), to the LBO Fund V managed by Ardian, Paris. The deal is subject to approval from the competent antitrust authorities.

Schleich is one of Germany's biggest toy manufacturers and internationally renowned for its naturalistic figurines. In 2013, Schleich generated a turnover of approx. EUR 106 million with about 340 employees.

Eversheds puts the icing on the cake for Greencore

Law firm Eversheds has advised Greencore Group Plc on the disposal of its foodservice desserts subsidiary Ministry of Cake. The business has been sold for an upfront cash consideration of £8m and deferred consideration of up to £3m.

The Eversheds team was led by partner Amanda Partland, assisted by Jonathan Pollard and Becky Ashurst (Corporate), Mary Kelly (Commercial), Graham Garvie (Real Estate), David Smith (Tax), Rebecca Kitson (Employment) and Amanda Dodsworth (Share Options).

Herbert Smith Freehills advises Omer Telecom on Numericable's €325 million offer for Virgin Mobile France

Herbert Smith Freehills has advised the shareholders of Omer Telecom Ltd (parent company of Omea Telecom SAS which operates Virgin Mobile in France):  Carphone Warehouse, Virgin and Financom (holding company of Geoffroy Roux de Bézieux, CEO of Omer Telecom Ltd), on the offer for  100% of the French mobile group Virgin Mobile France, made by Altice's subsidiary, Numericable Group, for an enterprise value of €325m.
