Wragge & Co completes reverse takeover of AIM-quoted Nasstar plc

Wragge & Co's Public Companies team has completed the reverse takeover of AIM-quoted cloud service provider Nasstar plc. A team led by partner Julian Henwood advised the majority shareholders of Denara Holdings Limited on its acquisition by Nasstar for an aggregate consideration of £13 million. This comprised £9 million cash and £4 million in new Nasstar shares. In order to fund the cash consideration, Nasstar raised £10.5 million through a share placing.

Olswang guides UK creative agency Inferno through its merger with IPG owned Draftfcb UK

Olswang has advised the shareholders of Inferno, the independent London based advertising agency, on the sale of the company to Draftfcb Worldwide, the global advertising agency network owned by the Interpublic Group of Companies. Inferno Draftfcb, as the merged group will initially be called, will deliver cutting-edge capability in both on and offline advertising, CRM, retail, web design and build, content creation, application development, mobile and social media.

Linklaters advised Dixons Retail plc on the sale of PIXmania to mutares AG

Dixons Retail, a high-tech electronic products and household appliances retailer, has finalized the sale of all PIXmania SAS’ securities, parent company of the PIXmania group, an e-merchant which specializes in the retail sale of technical and cultural products, to mutares AG, a German listed company.

The deal was announced last September, following consultation of staff representative bodies and the signing of the acquisition agreement, and was subject to some suspensive conditions, in particular the granting of regulatory approvals.

Davis Polk Advises Telecom Italia on the Sale of Its Interest in Telecom Argentina

Davis Polk is advising Telecom Italia S.p.A. on its $960 million sale of its entire controlling interest in Telecom Argentina to Fintech Telecom LLC, an affiliate of Fintech Advisory, Inc.

Telecom Italia is Italy’s largest telecommunications company, with operations in Italy and Brazil, and is also involved in the media and manufacturing industries. Telecom Argentina is the major local telecommunications company for the northern part of Argentina, including the city of Buenos Aires.

Wragge & Co dealmakers advise on £233 million healthcare sale

Wragge & Co's Corporate and Real Estate teams have acted for the vendors of Prime Public Partnerships (Holdings) Limited (PPP), a UK primary care portfolio group with an aggregate asset value of £233 million, in connection with their exchange of PPP for shares in Primary Health Properties PLC (PHP). Under the terms of the deal, Worcester based PPP has been acquired by PHP, creating a healthcare property portfolio valued at over £940 million.

DWF advises HTSPE Ltd on sale to DAI Europe Ltd

DWF has advised the major shareholders of HTSPE Limited, a leading international consultancy company specialising in development and programme management, on its sale to DAI Europe Limited, a global development company with corporate headquarters in London and Washington.

The deal bolsters DAI's European business as HTSPE is currently implementing 200 projects around the world for clients such as the UK Department for International Development, EuropeAid and the World Bank, in technical areas including climate change, land tenure, governance and education.

White & Case Advises Boussard & Gavaudan on the Sale of Cofigeo

Global law firm White & Case LLP has advised Boussard & Gavaudan Holding Limited, a closed-ended investment company, on the sale of its stake in Compagnie des Minquiers, the holding company of the Cofigeo Group.

The White & Case team in Paris was led by partner Franck De Vita and associate Camille Note on corporate matters and included partner Alexandre Ippolito and counsel Emmanuelle Pontnau-Faure on tax matters.

Hogan Lovells Advises Towne Park on Recapitalization by TA Associates

Towne Park, a provider of outsourced parking management and other specialized hospitality services to the hotel and healthcare industries has completed a recapitalization in which TA Associates, a leading global growth private equity firm, made  a majority investment. Hogan Lovells advised Towne Park in the transaction.

As part of the deal, Towne Park management maintained a significant stake in the company. In addition, existing investor Camden Partners sold its stake in Towne Park, and HarbourVest Partners, also a current shareholder, re-invested in the company.
