Houthoff Buruma advised founders Eelko van Kooten and Roger de Graaf in the sale of record label Spinnin' Records to Warner Chappell Music GroupMidden Golf (MIGO) B.V.

Spinnin' Records was founded in 1999 and found fame with artists such as Armand van Helden, Fedde le Grand, Afrojack and Martin Solveigh.

DLA Piper advises shareholders of taskforce – Management on Demand AG on sale to RGP Inc.

DLA Piper has advised the shareholders of taskforce - Management on Demand AG (taskforce) on the sale of the company to NASDAQ-listed RGP Inc. Upon closing, on 31 August 2017, RGP acquired 100 percent of the shares. The parties involved have agreed to keep the purchase price confidential.

Following the acquisition, taskforce will operate independently in the market under its original brand name with the addition “An RGP company”. The management of the company will remain unchanged.

DLA Piper has advised Nordic LAN&WAN Communication Oy and its owners on the sale of their entire share capital to Viria Plc.

Nordic LAN&WAN Communication Oy is a leading Finnish IT-service house. They provide data security services, information network services and property security services. The public administration, municipalities, companies and large global organizations, amongst others, rely on their services. In 2016, LAN&WAN Communication Oy’s revenue was EUR 19 million.

Taylor Wessing has advised money.co.uk, one of the UK’s leading financial comparison websites, on its sale to LSE listed ZPG Plc, for up to £140m.

Money.co.uk, established in 2008 by serial entrepreneur Chris Morling, helps consumers make smarter financial decisions by comparing thousands of deals from over 600 providers across more than 60 product categories including mortgages, loans, credit cards, bank accounts and insurance.

Gleiss Lutz advises Bosch and Mahle on the sale of their joint venture Bosch Mahle Turbo Systems (BMTS)

Gleiss Lutz advised the Bosch Group and the MAHLE Group on the sale of the joint venture Bosch Mahle Turbo Systems (BMTS) to FountainVest. The parties have agreed not to disclose the purchase price. The transaction is subject to approval by the respective antitrust authorities. 

With a total of around 1,300 employees, BMTS develops and produces turbochargers for a number of renowned manufacturers of passenger and utility vehicles. BMTS has two sites in Germany (Stuttgart and Blaichach) as well as production plants in St. Michael, Austria and Shanghai, China. 

Osborne Clarke advises Maxstore shareholder on the sale of shares to Simia Holding

International legal practice Osborne Clarke has advised Torsten Grimm, founder and co-shareholder of Maxstore GmbH, on the sale of his shares to Simia Holding AG.

Swiss-based Simia Holding AG has an annual turnover of over 200 million euro and specialises in the fields of textiles and sporting goods.

Münchberg-based Maxstore GmbH is a leading provider in the e-commerce platform with 50 employees and annual revenue of around 25 million euro. The sale will benefit Maxstore’s overseas sales network, cost advantages and improve their investment opportunities.

Freshfields advises China Unicom on the issue of up to US$11.3 bn of new shares to its parent company in the first transaction under China’s mixed ownership reform

Freshfields Bruckhaus Deringer (‘Freshfields’) has advised China Unicom (Hong Kong) Ltd. on the issue of up to 6.65 billion new shares to its parent company, China Unicom (BVI) Ltd. for an aggregate subscription price of up to US$11.3 bn  (HK$88.06bn).

The transaction is part of the mixed ownership reform plan being implemented by China United Network Communications Group Co. Ltd. and is the first transaction under China’s mixed ownership reform of state-owned enterprises.

Robotic Drilling Systems sold to Nabors Industries

Nabors Industries has acquired Robotic Drilling Systems from Odfjell Drilling, Statoil, Investinor and Westcon et seq. The company has for 12 years worked on developing an automated drill floor robot. Several test projects have been launched on the test facilities rig Ullrigg, situated close to Stavanger.

The system will also be used  on the rig Deepsea Atlantic, which is owned by Odfjell Drilling and operates on the Sverdrup field. The system will fully automate drill floor operations like tool and pipe handling.

Gernandt & Danielsson advises Holding Blanc Bleu 5 S.à r.l. (owned by funds advised by Orlando Management AG) and Petek GmbH in the sale of the Nordic Paper group to the Chinese paper manufacturer Anhui Shanying Paper.

Nordic Paper is a leading Swedish-based producer of speciality paper within the segments kraft and greaseproof paper.
