Thommessen assists BP in the merger with Det norske

BP Norge joins forces with Det norske creating a new and exciting E&P company to be named Aker BP. The company will continue to be listed at the Oslo Exchange.

In connection with the merger, BP Norge is assigned to Det norske. The consideration is to be settled by cash and the shares are to be issued by the Det norske.

Following the transaction, Aker will have an ownership of 40% in Aker BP. BP UK and the remaining shareholders will have ownership of 30% respectively.

Hogan Lovells advises on Community Deal in the UAE

DUBAI, 8 June 2016 – Hogan Lovells has advised Eltizam Asset Management Group on the merger of its subsidiary Three60 Communities, with Novus Community Management.

The new company also acquired the assets of Premium Community Management.

The deal creates the UAE's largest privately owned community management company, managing more than 80 buildings, including two master communities and more than 20,000 residential units. This expansion falls in line with the company’s long-term strategy to grow its operations throughout the UAE and GCC.

Mills & Reeve acts for disability charity Livability on merger

We have acted on the merger of Christian disability charities Livability and Prospects.

Livability, which employs over 1,600 people and has annual income of circa £45 million, provides services including residential care, a range of supported and independent living services, a brain injury rehabilitation centre, a school and a further education college for disabled people.

eLong, Inc., a leading mobile and online travel service provider in China, announced the completion of its merger with China E-dragon Mergersub Limited, a wholly owned subsidiary of China E-dragon Holdings Limited. The international legal practice Osborne Clarke advised ProSiebenSat.1 Media SE on the merger of its subsidiary Aeria Games with Gamigo AG. Both companies are among the leading European games publishers. As part of the transaction, ProSiebenSat.1 is merging its 100% holding in Aeria Games Europe into Gamigo AG and will become a minority shareholder in the merged publisher with a 33 percent stake.
