DLA Piper advises ASC Investment on the acquisition of VITRABLOC

DLA Piper has advised Luxembourg-based private equity firm ASC Investment on the acquisition and the financing of VITRABLOK a specialist glass block manufacturer. This is the first acquisition for ASC Investment.

VITRABLOK was part of the SEVES Group, a Triton Fund III company. With more than 300 employees in Europe and the USA, VITRABLOK has a 40% share in the world glass block market. It is the leading manufacturer of glass bricks for interior and exterior architectural applications.

Dentons advises Virgin Atlantic Airways on up to US$350 million debut revolving credit facility

Dentons has advised Virgin Atlantic Airways Ltd on its three-year, US$150m secured syndicated revolving credit facility with options to increase to US$350 million and extend the term to five years.

The facility, which is secured against aircraft and engines, will be used to help the airline invest in its customer experience and plan for future growth, including the pre-delivery payments on Virgin Atlantic’s order of new A350-1000 aircraft due from 2019.

The facility was arranged by Lloyds Bank and includes a syndicate of six leading banks.

Sika acquires majority stake in Index Construction Systems and Products

Baker McKenzie has assisted Sika AG, a leader multinational in the development and production of specialty chemicals in the building sector and automotive industry, in the acquisition of majority stake in Index Construction Systems and Products S.p.A., a leading manufacturer of roofing and waterproofing systems headquartered close to Verona, Italy.

Baker McKenzie assisted Sika with a team led by partner Alberto Fornari and with the assistance of counsel Chiara Marinozzi.

White & Case Advises Intesa Sanpaolo on US$2.5 Billion Yankee Bond Issuance

Global law firm White & Case LLP has advised Intesa Sanpaolo S.p.A. on a US$2.5 billion issuance of Yankee bonds under its US$50 billion Medium Term Note Programme.

The issuance consists of US$1 billion 3.375% senior notes due 2023, US$1 billion 3.875% senior notes due 2028 and US$500 million 4.375% senior notes due 2048, issued pursuant to Rule 144A under the US Securities Act.

Our clients were CCB International Capital Limited, Guotai Junan Securities (Hong Kong) Limited and Haitong International Securities Company Limited as the underwriters of the transaction. The total offering amount was HK$3.99 billion (excluding over-allotment).

HalioDx’s Closing of an €18.5 million Series B Financing

Shearman & Sterling advised HalioDx, a diagnostic company expert in immuno-oncology, on the closing of an €18.5 million Series B financing after a Series A round of €8 million in March 2015.

The latest round was led by Bpifrance’s PSIM fund, which was joined by Capricorn Venture Partners and Amundi Private Equity Funds. The fundraising will accelerate the development of HalioDx’s Immunoscore platform for colon cancer and other types of cancer and allow the company to set up commercial activities in the U.S.

TPG Growth to Acquire Leading African Music and Entertainment Company TRACE

TPG Growth, a middle market and growth equity investment platform of the global private investment firm TPG, announced it will acquire a majority stake in TRACE, a market leader in afro-urban music and entertainment. The remaining stake will be owned by TRACE’s co-founder Olivier Laouchez and the TRACE management team.

European Investment Bank's $5 Billion Registered Notes Offering

Cravath represented the European Investment Bank in connection with its $5 billion registered notes offering. The European Investment Bank, which functions as the bank of the European Union, supports projects that make a significant contribution to growth, employment, economic and social cohesion and environmental sustainability, both in the EU and beyond. The notes were listed on the Luxembourg Stock Exchange. The transaction closed on January 17, 2018.

Cosgrove moves to GT from his position as counsel and head of construction in the Real Estate Department at Allen & Overy LLP.
