A team comprised of members from various offices, led by Stuttgart-based partner Dr. Peter Ladwig, comprehensively advised HR service provider TP Group Service GmbH on the acquisition of Mach Professionals GmbH and accompanied the transaction. The temporary employment group House of HR, which acquired TimePartner Group last year, thus continues its expansion path in Germany.
 

Ashurst advises TerraCom Limited on its A$15 million equity raising

Ashurst has advised TerraCom Limited (TerraCom) in relation to an accelerated non-renounceable entitlement offer on a 3 for 13 basis at A$0.215 per share to raise up to A$15 million (Equity Raising).

The Rights Issue is fully underwritten by Gleneagle Securities (Aust) Pty Limited acting as the Lead Manager and Underwriter, and is fully sub-underwritten by Bonython Coal No 1 Pty Limited.

The proceeds from the funds raised will be used to strengthen TerraCom's financial position, including expediting the Blair Athol rail line construction.

Allen & Overy Casablanca advises KMR in the acquisition of Laureate SOMED Education Holding

Allen & Overy (A&O) advised KMR Holding Pédagogique (KMR) in the acquisition through its wholly-owned subsidary  Université Privée de Marrakech Pédagogique (UPM) of 100% of the share capital of Laureate Somed Education Holding BV, whose ultimate shareholder is Laureate Education, Inc (Laureate) and Société Maroc Emirats de Développement (SOMED). The deal is pending the waiver of conditions precedents. Once it will be finalized, a transitional services agreement will be set in place.

Eversheds Sutherland advised Barnebys upon their second acquisition in the United States

Eversheds Sutherland advised the Swedish auction platform Barnebys in its second acquisition in the United States. Barnebys acquired the assets in the American company Market Street Media LLC who acts under the brand Collectors Weekly.

Collectors Weekly is a search engine that links to auctions on Ebay. The site also creates editorial content about antiques and collector's item. The site has over one million visitors per month.

HERBERT SMITH FREEHILLS ADVISES EULER HERMES ON INSURANCE POLICIES FOR B2B MARKETPLACES

A team from Herbert Smith Freehills has advised Euler Hermes Digital Agency and Euler Hermes France on organising and launching the first insurance policy issued by Euler Hermes to cover credit risks incurred in B2B marketplaces. Its first subscriber is Metalshub, a marketplace that connects metal sellers with buyers.

Osborne Clarke advises Acellere on €2.25m series A financing round

International legal practice Osborne Clarke has advised Acellere GmbH, on the closing of its series A EUR 2.25 million financing round. The investment comes from Capnamic Ventures and several business angels.

The Frankfurt-based start-up has created “Gamma”, a software analytics platform to assist developers in identifying and mitigating bugs and structural issues in software code. It’s used by companies in the finance, automotive and energy sectors.

CMS advises on merger of OPDR and MacAndrews shipping lines

Hamburg – French shipping company CMA CGM merged its MacAndrews and OPDR subsidiaries at the end of last year, both of which specialise in short-sea routes within Europe. The merger created a new company headquartered in Hamburg under the MacAndrews name with effect from 1 January 2018.

An international CMS team headed by lead partner Dr Eckart Gottschalk advised MacAndrews GmbH on all legal aspects of the merger.
