International legal practice Osborne Clarke has advised UK mid-market investor, Tenzing Private Equity, on its investment in Converge-IT.Net Ltd (‘Converge TS’), the specialist provider of managed and hosted IT services to the UK legal sector.

Tenzing is an independent private equity firm, based in London that targets buyout investments in high growth businesses, valued between £10m and £75m, across the UK and Ireland. Founded in January 2015, the firm invests in niche market leaders and challenger businesses across a broad range of industry sectors.

BEITEN BURKHARDT Advises dormakaba Group on Bond Issue of CHF 680 Million

The international law firm BEITEN BURKHARDT has advised the dormakaba Group on issuing two bonds in a total volume of CHF 680 million as double tranches on the Swiss capital market with regard to all German law aspects in relation to the collateralisation by a German group company. dormakaba Finance AG is the issuer of the bond, the first tranche of which has a maturity of four years, a 0.375 per cent coupon and an issuing price of 100.298 percent, and the second tranche being issued with a maturity of eight years, a coupon of 1.00 percent and an issuing price of 100.46 percent.

Gide advised Yareal Polska on the purchase of an area of SOHO Factory

The real estate team at Gide Warsaw law firm advised Yareal Polska on the purchase of post-industrial real property with a total area of 5.3 ha located on the area of SOHO Factory in the district of Praga-Poludnie in Warsaw.

There are plans to build a residential complex with a usable area of ca. 70 thousand square metres on the purchased real property, located between ul. Minska and ul. Zupnicza. The investment will retain the post-industrial look of the location, adding modern architectural and urban solutions.

Norton Rose Fulbright advises lenders on PPP project for police headquarters southeast Hesse

Global law firm Norton Rose Fulbright has advised the lenders for the construction, operation and maintenance of the new police headquarters Southeast Hesse in the city of Offenbach.

The headquarters will have capacity for 800 policemen and women and is structured as a public-private partnership (PPP). The state of Hesse and a project company held by Goldbeck Public Partner GmbH and Amber Infrastructure GmbH signed the contracts on 7 December.

Freshfields advises on China Everbright Bank’s US$3.97bn share placement in Hong Kong

Freshfields Bruckhaus Deringer (“Freshfields”) has advised China International Capital Corporation Hong Kong Securities Limited, the lead financial advisor and lead placing agent in the strategic placement of US$3.97 billion of H-shares by China Everbright Bank Company Limited (‘China Everbright Bank’) to Overseas Chinese Town Enterprises Company and China Everbright Group Limited.

The deal closed on 22 December 2017. The shares are listed on the Hong Kong Stock Exchange.
