Paul Hastings Advises as Xavier Niel-led Consortium Acquires Ireland’s eir

Paul Hastings LLP, a leading global law firm, announced today that it is advising a consortium led by NJJ Telecom Europe (“NJJ”) on the acquisition of a majority of eir, the Irish telecommunications and broadband business. eir had revenue of €1.32 billion, and earnings before interest, taxation, depreciation and amortization of €520 million, in the financial year to June 30, 2017. The deal is subject to regulatory approval and is expected to close in the second quarter of 2018.

GBLP advises syndicate on a project finance transaction for construction of two hydro-power plants

Goltsblat BLP, the Russian practice of the international law firm Berwin Leighton Paisner (BLP), has advised a syndicate of the Eurasian Development Bank (EDB) and International Investment Bank (IIB) on a project finance transaction for the construction of two hydro-power plants with a total capacity of 49.8MW in the Republic of Karelia, northwest Russia.

The RUB 8.15bn facility will be repaid in 12 years. This is also a pilot project in Russia for the New Development Bank set up by the BRICS countries, as the creditors have used its resources for funding.

WFW advises Blue Elephant Energy AG on acquisition of 20 MW Italian wind farm

Watson Farley & Williams (“WFW“) advised Blue Elephant Energy AG (“BEE”) on its acquisition of a 20 MW wind farm in Italy. The seller is a company in the European Energy Group, the buyer BEEGO IPP GmbH, an affiliate of BEE. The wind farm, located in the province of Potenza in the Basilicata region of southern Italy, comprises ten Vestas V110-2MW type wind turbines with a total capacity of 20 MW and has been operational since early 2017.

Slaughter and May acted for Scientific Games Corporation ("Scientific Games") on its acquisition of NYX Gaming Group Limited ("NYX"). The transaction was completed on Friday 5 January 2018 and was executed by way of a court-sanctioned scheme of arrangement under Part VIII of the Companies (Guernsey) Law, 2008. The offer was approved by an overwhelming vote of NYX shareholders on 20 December 2017.
