Freshfields Bruckhaus Deringer LLP ('Freshfields') has advised Cosan S.A. (‘Cosan’), the Brazilian-listed energy company, on its negotiations with Royal-Dutch Shell (‘Shell’) to revise the terms of its important Brazilian joint venture, Raizen, the world's largest sugar and ethanol producer and one of Brazil’s largest companies.

Paul Hastings advised BKW in connection with the acquisition of four wind farms

Paul Hastings LLP has advised BKW Group in connection with the acquisition of four wind farms and an option for a potential fifth acquisition from Samfi Invest Group.

BKW, which specializes in energy and infrastructure, is a leader in the operation of wind power plants in Switzerland and abroad. The Group employs nearly 5000 people in subsidiaries around the world. Its wind farm represents a total capacity of nearly 440 MW for a production of 660 GWh.

IPO for Sydney Renewable Power Company

Baker & McKenzie has assisted Sydney Renewable Power Company Limited (SRPC) in its initial public offering of shares.  SRPC has constructed Australia's largest CBD solar installation and its located on top of the new International Convention Centre (ICC) in Darling Harbour.  Itcovers the equivalent of 12 tennis courts in size and is expected to generate enough electricity to power approximately 100 homes each year.

EDF and AREVA sign binding agreements for the sale of AREVA NP’s activities

Bär & Karrer Advises Swissgrid on Transfer of Swissgrid Shares

On 8 November, Swissgrid shares held by Alpiq AG and Alpiq Suisse were transferred to BKW and Sireso, a Swiss consortium. Prior to the transaction, the transfers were disputed and led to several proceedings. The disputes were settled in October and the board of directors of Swissgrid gave its consent to the transaction. The transfer of shares in Swissgrid AG, the Swiss high voltage grid operator, is restricted by law (inter alia with statutory pre-emption rights).

Shearman & Sterling advised OneLNG in connection with the agreement to establish a joint venture with a wholly owned subsidiary of Ophir Energy plc to facilitate the development, financing and operation of the Fortuna FLNG Project in offshore Equatorial Guinea. The Shearman & Sterling team has worked on all aspects of the project since March 2015.

Ashurst is advising Rothschild in relation to the £78.5 million recommended cash offer by Severn Trent Water Limited, a wholly-owned subsidiary of Severn Trent plc, for Dee Valley Group plc, announced today. Dee Valley Water is the licensed water undertaker for Wrexham, Chester and the surrounding areas and has been supplying water to its community for more than 150 years. It supplies drinking water to approximately 125,000 domestic and business customers in northeast Wales and in northwest Cheshire.
