WFW advises STRABAG subsidiary on sale offshore wind farm project to Vattenfall

International law firm Watson Farley & Williams (“WFW”) has advised Erste Nordsee-Offshore-Holding GmbH, a joint subsidiary of STRABAG SE (“STRABAG”) and, indirectly, Etanax GmbH, on the legal and tax aspects of its sale of the offshore wind farm project “Global Tech II” to leading Swedish utility Vattenfall. The parties have agreed to not disclose the purchase price.

Mason Hayes & Curran Acts for Gaelectric

Our Energy, Utilities & Projects team acted for Irish renewable energy company Gaelectric on the project financing Ballybay and Foyle wind farms, by AIB plc, for a total of €38m.

Ballybay Wind Farm and ­Foyle Wind Farm in Co Kilkenny are both due to become operational during the second half of next year with substantial works completed on both projects in advance of financial close. The two wind farms will supply enough energy to power approximately 12,200 homes.

Bär & Karrer successfully assisted Ansaldo Energia in ICC Arbitration proceedings

Bär & Karrer formed part of a German and Swiss legal counsel team that successfully represented Ansaldo Energia (Ansaldo) in a dispute against Siemens relating to the use of heavy duty gas turbine technology, which Siemens has licensed to Ansaldo since 2004. Siemens started arbitration proceedings two years ago, soon after Ansaldo made forays into the South Korean and Chinese markets through co-operation agreements with Doosan Heavy Industries and Shanghai Electric Group, claiming that the agreements would harm its position in the Asian market.

Linklaters advises Panasonic on the acquisition of OpenSynergy

Linklaters advised Panasonic Corporation on the acquisition of all shares in the German software company OpenSynergy GmbH. The group of sellers includes, amongst others, the company founders, the management and venture capital firms. The transaction makes OpenSynergy a subsidiary of Panasonic.

OpenSynergy was founded in 2007. The company is based in Berlin and has further offices in Munich and the United States. The high-tech company specialises in embedded automotive software for cockpit solutions.

Bird & Bird advises Falkon Capital on the erection of a windfarm in Russia

Bird & Bird LLP's German team has advised the Czech company Falkon Capital and its subsidiary Alten Ltd on the erection of a 51MW windfarm in the Republic of Kalmykia, south of Russia.

In the rapidly developing wind energy market, Alten was one of the first companies to erect windfarms in Russia. It first developed and erected a windfarm with a performance of 2,4MW in the Republic of Kalmykia in 2010.

US involved in US$2Bn acquisition of oil pipeline system

Our Houston and Washington, DC offices represent Enbridge in the (i) formation of MarEn Bakken Company LLC, a joint venture between affiliates of Enbridge Energy Partners, L.P. and Marathon Petroleum Corporation and (ii) acquisition by MarEn from Energy Transfer Partners, L.P. and Sunoco Logistics Partners, L.P. of a 49 percent equity interest in a holding company that owns a controlling 75 percent interest in the Bakken Pipeline System for US$2 billion.

NautaDutilh assists OOS International with respect to the construction of two semi-submersible crane vessels

NautaDutilh assists Overdulve Offshore Services (OOS) International with respect to the entry into a partnership with China Merchants Industry Holdings (CMIH) regarding the engineering and construction of two Semi-Submersible Crane Vessels (SSCV's) named OOS Serooskerke and OOS Walcheren.

OOS International is a fast growing offshore services company. It currently operates two SSCV's, called OOS Gretha and OOS Prometheus, under a contract with Petrobras for renovating and maintaining 30 platforms in Brazil.
