Dentons advised Doosan Lentjes

Dentons’ Public Procurement Team advised Doosan Lentjes Gmbh in a tender procedure for the construction of a flue gas desulphurization and ash distribution installation for Polska Grupa Energetyczna in Pomorzany. We cooperated with the venture partner Polimex Energetyka and assisted in drafting the bid documentation. We also represented the client in a successful appeal brought before the National Appeal Chamber (KIO), which paved the way for the contract going to Doosan Lentjes Gmbh and Polimex Energetyka.

KWM advises GE on sale of Commercial Distribution Financial business to Wells Fargo

King & Wood Mallesons has advised General Electric (GE) on the sale of its Commercial Distribution Finance (CDF) business in Australia and New Zealand to Wells Fargo.

Listed on the NYSE, Wells Fargo delivers banking, insurance, investments, mortgage, and consumer and commercial financial services.

The acquisition includes CDF assets, and 123 team members across 5 sites in Australia, along with CDF assets and 7 team members across 2 sites in New Zealand.

DLA Piper advises AustrianSolar on the sale of 100 MW (AC) solar project in Chile

DLA Piper has advised AustriaSolar Group on the sale of its subsidiary AustrianSolar Chile Cinco SpA, to SunPower El Pelicano Holding Company SpA, an affiliate of SunPower Corporation.

SunPower Corporation’s majority shareholder TOTAL S.A. is one of the world’s leading companies in the energy sector, active in the field of conventional and renewable energies. The divested company owns a photovoltaic project in Chile (El Pelicano) which has a capacity of 100 MW (AC).

DLA Piper secures victory for Lumos Solar in international arbitration dispute

DLA Piper successfully represented Lumos Solar LLC, a Boulder, Colorado-based solar module company, in an international arbitration dispute with CEEG (Shanghai) Solar Science & Technology Co. Ltd., a Chinese producer of solar panels.

On July 19, 2016, a three-judge panel of the United States Court of Appeals for the Tenth Circuit ruled that CEEG cannot enforce a $1.6 million arbitration award obtained from a tribunal sitting in China relating to the sale of defective solar modules to Lumos.

Clifford Chance advises Chinese M.L.S. Electronics Co., LTD on the acquisition of OSRAM's business unit Lamps

Clifford Chance has advised the Chinese lighting company M.L.S. Electronics Co., LTD (MLS) on the acquisition of OSRAM's business unit Lamps known as LEDVANCE. MLS is part of a Chinese consortium whose other members are the investors IDG Capital Partners (IDG) and Yiwu. The purchase price amounts to more than €400 million. The consortium will finance the purchase price on an all equity-financed basis. The transaction is subject to certain closing conditions and regulatory approval by the relevant authorities. The transaction is expected to close in the course of fiscal year 2017.

Environment experts advise on A$650 million Victorian wind farm designed to protect the brolga

Herbert Smith Freehills has advised Trustpower on all environmental aspects of its proposed A$650 million Dundonnell Wind Farm in western Victoria which recently received planning approval from the Victorian Government.

The project, which will have up to 96 turbines, is developed by Trustpower closely together with landowners who support having wind turbines on their properties.

GasTerra wins EUR 2 billion price review arbitration against Italian energy major Eni

An arbitral tribunal‎ under the UNCITRAL rules dismissed on 23 June 2016 all claims in their entirety brought by Eni against GasTerra. Eni had brought claims for a reduction per October 2012 of the price of gas sold by GasTerra under its long-term contract with Eni. Eni was ordered to bear the cost of the arbitration as well as a significant part of GasTerra’s costs of legal representation.

DLA Piper has advised Oando PLC (Oando), Nigeria’s leading indigenous energy group, listed on both the Nigerian and Johannesburg Stock Exchange, on a $210 million recapitalisation and partial divestment of its downstream operations. HV Investments II B.V., a joint venture owned by Helios Investment Partners, a premier Africa-focused private investment firm, and the Vitol Group, the world’s largest independent trader of energy commodities, will acquire the equity stake.
