Baker & McKenzie advised Air Liquide on acquisition of majority stake in Optimal Medical Therapies

Baker & McKenzie advised Air Liquide on the acquisition of a majority stake in the Optimal Medical Therapies Group (OMT), a leading German player in home healthcare services for patients in Germany suffering from chronic illnesses requiring infusion therapy. The transaction was closed at the beginning of 2015.

With this transaction Air Liquide has strengthened the development of its home healthcare activity in Germany. Air Liquide is a leading provider of infusion therapy in France and Northern Europe.

Ashurst has advised PT Pertamina (Persero) and its wholly-owned subsidiary, Pertamina Malaysia Eksplorasi Produksi ("PMEP"), on PMEP's US$ 2 billion acquisition of 30% of Murphy Sabah Oil Co., Ltd.'s and Murphy Sarawak Oil Co., Ltd.'s Malaysian upstream oil and gas assets, which reached final closing yesterday.

The Higher Regional Court of Düsseldorf ruled in appeal proceedings of Nördlicher Grund GmbH (Nördlicher Grund) against the Federal Network Agency regarding the future construction of offshore windfarms in the North Sea, marking an important landmark decision for the energy turnaround. TenneT TSO, the concerned transmission system operator, was significantly involved in the appeal proceedings. The ruling of the court has now become binding.

Göteborg Energi divests Lerum Energi

Göteborg Energi has entered into an agreement with the muncipality of Lerum, whereby the municipality acquires Göteborg Energi AB’s shares in Lerum Energi AB. As a result of the agreement, the muncipality will be the sole shareholder of the company. The divestment of the shares in Lerum Energi is part of Göteborg Energi’s strategy to focus on the company’s core business in Gothenburg.

WFW advises ewz and Aquila Capital on the acquisition financing of 29 wind energy turbines in Sweden

Ewz (Elektrizitätswerk der Stadt Zürich) and Aquila Capital have instructed Watson Farley & Williams (“WFW”) to advise on the acquisition financing of 29 wind energy plants from the listed Swedish wind farm developer, Eolus Vind AB.

ewz acquired, through German subsidiary ewz (Deutschland) GmbH, its first wind farm in Sweden and holds 51 percent of shares in the Swedish joint venture. Co-investor Aquila Capital, a leading alternative investment firm, holds the remaining 49 percent of shares in the joint venture for institutional investors.

Linklaters advises Suzlon on the disposal of Senvion

Linklaters advises Suzlon on the disposal of its German affiliate Senvion. The buyer is the US Investment Funds Centerbridge Partners. The closing of the transaction is subject to regulatory approvals.

Suzlon is one of the world’s leading producer of wind energy plants and based in Pune, India. The company offers a complete supply chain and has installed plants in North and South America, Asia, Australia, Europa and Africa. Suzlon had acquired Senvion, formerly known as Repower, in 2007 with the support of the same Linklaters team.

Setterwalls has assisted ewz on its acquisition of wind farms from Eolus Vind AB

Setterwalls has assisted ewz (elektrizitatswerk der stadt Zurich) on its acquisition of wind farms Ramsnas, Mungserod , Alered and Skalleberg from Eolus Vind AB (publ). All the parks except Skalleberg are constructed.

The purchase price amounts to EUR 95 million . Setterwalls has assisted in the acquisition and financing as well as in the acquirer's establishment of a consortium with Aquila Capital.

Setterwalls' team consisted of Jonas Frii, Elin Hjort, Jonas Soderstjerna, Kristoffer Stahl and Oskar Svenburg.
