DLA Piper advises on AU$164 million solar farm project in NSW

DLA Piper has advised Green Light Contractors Pty Ltd on a new AU$164 million solar farm project in Moree in northern New South Wales. Green Light is a wholly owned subsidiary of Elecnor Australia, itself a subsidiary of Elecnor SA, a large Spanish-owned renewable energy group operating in 56 countries around the world.

Green Light is the appointed engineering, procurement and construction (EPC) contractor for the project, as well as handling ongoing operation and maintenance (O&M) for the solar farm.

Simpson Thacher Represents Tesoro Logistics LP in Committed Financing in Connection with its Announced Acquisition of QEP Field Services, LLC.

Simpson Thacher is representing Tesoro Logistics LP (“TLLP”) in connection with the committed financing for its announced acquisition of 100% of the outstanding equity interests of QEP Field Services, LLC (“QEPFS”), including up to $2.5 billion in senior unsecured bridge financing and a $900 million revolving credit facility.  The bridge financing will be reduced by the amount of gross proceeds TLLP receives from a public offering of its common units and a private placement of its debt securities.

CC advises Statoil on the US$2.25 billion disposal of its Shah Deniz interest to PETRONAS

Clifford Chance is advising the international energy company Statoil ASA (Statoil) on the disposal of Statoil's interest in the Shah Deniz field, off shore Azerbaijan, to the Malaysian oil and gas company PETRONAS.  The transaction value is US$2.25 billion.  Closing is expected in early 2015 following approvals from the relevant authorities.

WFW advise on the €23 million refinancing of a 14 MW solar portfolio

Watson, Farley & Williams (WFW) has assisted Capital Stage AG, a German renewable energy company, on a refinancing facility worth up to €23 million from Bayerische Landesbank, a primary German public law credit institution. The refinancing concerns a solar portfolio consisting of seven greenfield photovoltaic parks operating in the Emilia-Romagna, Abruzzo and Marche Regions in Italy, with an overall nominal capacity of approximately 14.1 MW.

DLA Piper advises on first international Solar Licence Deal

DLA Piper has announced its involvement in the first international solar licence deal, which will cut electricity bills for up to 4,500 homes in Greater Manchester by around £40m.

The DLA Piper team which was led by partner Natasha Luther-Jones alongside senior associate James Wood-Robertson, advised the world’s biggest solar cell producer Taiwanese-owned GES, on the deal valued at £18m.

Herbert Smith Freehills advises on the first wind farm project financing to reach financial close in the Philippines

Herbert Smith Freehills has advised Energy Development Corporation (EDC) on its US$315 million financing of the 150 MW Burgos Wind Farm Project (Burgos).

Burgos is the largest wind farm developed in the Philippines to date and the financing represents not only the first international project financing of a wind farm project in the Philippines to reach financial close but also the first time that the Feed in Tariff (FiT) recently introduced by the Philippines Government has been banked.

Leading international law firm Clifford Chance has advised emerging market private equity investor Actis on the establishment of Zuma Energy and on its first transaction in Latin America. Zuma Energy is a 600+ MW renewable energy platform in Mexico in a joint venture between Actis and Mesoamerica. The firm also advised on Zuma Energy's acquisition of PE Ingenio, S.A.P.I. de C.V. (PE Ingenio), a 50 MW wind farm located in the state of Oaxaca, together with Mexican law firm Mijares, Angoitia, Cortes y Fuentes S.C. Abogados.

Dentons advises Oman Oil on US$1.85 billion revolving credit

Dentons has advised Oman Oil Company, a national oil investment company wholly owned by the Government of the Sultanate of Oman, on its inaugural corporate borrowing.

Acting as Omani law counsel, Dentons advised OOC on its US$1.85 billion revolving credit facility from over 15 international and local banks together with related corporate governance aspects of OOC's entry into the facility. The revolving credit facility was split between a US$1 billion three-year tranche and an US$850 million piece with a five-year lifespan.

Burges Salmon advises Seagreen on consents for Firth of Forth offshore wind farms

Burges Salmon's Planning and Energy sector experts have advised Seagreen Wind Energy Ltd (Seagreen, owned jointly by SSE Renewables and Fluor Limited) on the offshore consents received from the Scottish Government for Phase 1 of its 3,500MW Firth of Forth Offshore Wind Zone.

Phase 1 comprises Project Alpha and Project Bravo, which will consist of up to 150 wind turbines with a generating capacity of up to 1050 MW. They are to be located 27-38 km east of the Angus coastline and could power over 670,000 homes.
