Paul Hastings Represents Tall Oak Midstream in $100 Million Financing

Paul Hastings LLP represented Tall Oak Midstream, LLC, an innovative midstream company, in securing a $100 million senior credit facility that may be expanded to $150 million.  The financing will be to support Tall Oak Midstream’s subsidiary, TOMPC, LLC and will assist in building-out and expanding its natural gas gathering and processing system in the Central Northern Oklahoma Woodford (CNOW) play.
 

Clifford Chance advises GDF SUEZ, Nareva and Mitsui consortium on financing of US$2.6 billion power station in Safi, Morocco

Clifford Chance has advised sponsors GDF Suez, Nareva and Mitsui on the US$2.6 billion, 18 year financing of a 1,386 MW ultra-supercritical coal-fired independent power project near the port of Safi, Morocco.

The power plant will represent approximately 20% of Morocco's installed capacity and provide substantial employment and development opportunities to the local community. The Moroccan state body, l'Office National de l'Electricité et de l'Eau Potable (ONEE), will be the sole offtaker from the plant under a 30-year power purchase agreement.

Wragge Lawrence Graham & Co helps boost Primrose Solar's portfolio

Wragge Lawrence Graham & Co's Energy team has helped Primrose Solar to significantly expand its portfolio through the acquisition of a further five solar farms in the UK.

Primrose's portfolio will now add more than 175 MW of renewable energy to the grid, enough to power the equivalent of more than 40,000 average homes and to save approximately 1,600,000 tonnes of carbon dioxide over their 25-year lifetime.

Wragge Lawrence Graham & Co's energy specialists have helped RGE Energy UK (RGE) secure the sale of a 6.4 MW solar PV project. The site, in Ceredigion, South Wales, has been acquired jointly by sPower, a leading renewable energy provider, and Camborne Capital, a prominent UK solar developer.

A cross-firm team led by director Gareth Baker advised RGE, a developer specialised in solar PV, on the corporate, planning, real estate and tax issues relating to the disposal.

White & Case Advises Eni Group on Annual Update of €15 Billion EMTN Programme

White & Case LLP has advised Eni S.p.A., as issuer and guarantor, and Eni Finance International S.A., as issuer, on the Italian and English law aspects of the annual update of its €15 billion Euro Medium Term Note Programme.

Kosmos Energy Ltd. $140 Million Offering of Common Shares

Davis Polk advised Kosmos Energy Ltd. and funds affiliated with Warburg Pincus LLC and The Blackstone Group L.P. in connection with an SEC-registered secondary offering of 15,000,000 common shares by such funds as selling shareholders, for an aggregate price to the public of $140 million. Citigroup Global Markets Inc. was the underwriter of the offering.  

Clifford Chance advises on landmark state aid approval for Hinkley Point C power plant

Leading international law firm Clifford Chance has advised EDF Group on its state aid case which has been approved by the European Commission (EC). The EC approved agreements between EDF Group and the UK government to build a new nuclear power station at Hinkley Point C in Somerset. Its decision followed a rigorous and detailed examination of the deal during a 12 month investigation.

Gleiss Lutz advises E.ON on action for damages in connection with closure of nuclear power plants

On 1 October 2014 E.ON brought an action before the Hanover District Court for compensation of damage caused by the moratorium ordering the closure of the Unterweser and Isar 1 nuclear power plants in March 2011. The closure resulted in losses of around EUR 380 million. The action is directed against the responsible ministries in Lower Saxony and Bavaria as well as the Federal Ministry for the Environment. An out-of-court settlement had already been rejected.
