Herbert Smith Freehills advises the Commonwealth Bank of Australia on its A$5 billion PAITREO entitlement offer

Herbert Smith Freehills has advised Commonwealth Bank of Australia (CBA) on its A$5 billion fully underwritten pro-rata accelerated renounceable entitlement offer including retail rights trading (PAITREO), announced to the ASX on 12 August 2015 (Offer).

The proceeds from the Offer will further support CBA’s internationally comparable capital ratios.

The Herbert Smith Freehills capital markets team was led by partner Philippa Stone, senior associates Lucy Hall and Charlotte Cameron, and solicitors Thomas Cooper and Ben Robinson.

Ashurst advises HSH Nordbank on the financing of the acquisition of an office building in Berlin by IREIT Global from Singapore

Ashurst advised HSH Nordbank AG on the financing of the acquisition of an office building at Schreiberhauer Straße 2-22 in Berlin by IREIT Global, a listed Singaporean Real Estate Investment Trust. HSH Nordbank has provided around €100 million for this transaction. The seller of the office building is Wealthcap Real Estate Management GmbH.

Norton Rose Fulbright advises on $1bn project financing for Shah Deniz gas field in Azerbaijan

Norton Rose Fulbright has advised a consortium of international financial institutions in relation to a $1 billion project financing for the second stage of the of the Shah Deniz gas development project in Azerbaijan. The consortium includes Asian Development Bank (ADB), European Bank for Reconstruction and Development (EBRD) and Black Sea Trade and Development Bank (BSTDB). The borrower is Lukoil Overseas Shah Deniz Ltd..

Norton Rose Fulbright advises Helaba as mandated lead arranger and bookrunner on a €600m term loan for IAG’s acquisition of Aer Lingus

Norton Rose Fulbright has advised Helaba as mandated lead arranger and bookrunner on a €600m five year term loan to be used by International Airlines Group (IAG) for its acquisition of Ireland’s Aer Lingus.

IAG has cancelled €600m of an existing €1.4bn bridge loan and replaced it with funds arranged and underwritten by Helaba. Helaba is also acting as security agent on the €1.4bn bridge facility. It will provide IAG with a €200m A1 tranche. Additionally, British Airways, whose parent company is IAG, will provide a €400m A2 tranche.

Ashurst has advised the joint lead managers and underwrtiers on a A$5billion pro-rata accelerated institutional, tradeable retail entitlement offer (PAITREO) by Commonweath Bank of Australia (CBA).

CBA is conducting a 1 for 23 pro rata renounceable accelerated entitlement offer with rights trading to raise approximately $5 billion to be used in the ongoing funding of CBA's business to strengthen its regulatory capital position in the light of recent APRA statements.

Sidley advises Cairn Capital in its strategic partnership with Mediobanca

Sidley advised Cairn Capital Group in its strategic partnership with Mediobanca in which Mediobanca will acquire a majority interest in the London-based, credit asset management and advisory firm. Under the terms of the transaction, Mediobanca will acquire 51 percent. of the share capital of Cairn Capital on completion. The majority will be purchased from Cairn Capital’s institutional shareholders and following which The Royal Bank of Scotland will have no remaining interest.

UBS Group AG has completed its issuance of USD 1.575 billion 6.875% Tier 1 Capital Notes.
