Travers Smith advises on £250m placing by Playtech PLC

Travers Smith Corporate Finance partner Richard Spedding has advised Canaccord, UBS and Shore Capital on the £250m accelerated bookbuild placing for Playtech plc.

Canaccord Genuity is acting as Sponsor and Joint Bookrunner, UBS as Joint Bookrunner and Shore Capital as Lead Manager to the placing.  Playtech is to use the proceeds to fund future acquisitions including Plus500 and, potentially, a midsize B2C broker over which its newly acquired subsidiary TradeFX has an option to purchase.

Hogan Lovells Advises on Two Significant Capital Markets Transactions with a Total Value of US$164 million

Hogan Lovells has successfully advised on two capital markets transactions with a combined value of over US$164 million.

On the first transaction, we advised CLSA Limited on the placing of 302 million new shares of CITIC Dameng Holdings Limited, listed on the Hong Kong Stock Exchange, for approximately US$50.7 million. CITIC Dameng is one of the world’s largest vertically integrated manganese producers, engaging in the production and sales of manganese products at all stages of the production chain.

McCann FitzGerald advises Joint Bookrunners on IPO of Applegreen plc

McCann FitzGerald advised Goodbody Stockbrokers and Shore Capital in their role as Joint Bookrunners, Joint Brokers and ESM/ Nominated Advisers on the IPO and admission to trading of the shares of Applegreen plc on the Enterprise Securities Market of the Irish Stock Exchange plc and the AIM market of the London Stock Exchange plc. The IPO raised gross proceeds of approximately €70 million for the Company.

Linklaters advises on Singapore’s first covered bond deal

Linklaters has advised DBS Bank on the establishment of a USD 10 billion global covered bond programme, a first for the Singapore market under a new covered bond regime.

Singapore released guidelines in December 2013 to permit the nation’s banks to sell covered bonds. Covered bonds are rated higher than unsecured debt, often attaining the coveted AAA rating, as investors have recourse to both the issuer and a portfolio of assets. Issuing covered bonds enables banks to reach investors in high-grade securities.

Clifford Chance has advised Deutsche Bank, J.P. Morgan and Standard Chartered Bank in connection with the $500 million offering of 6.950% notes due 2025 by the Gabonese Republic. It represents the second African sovereign Eurobond issuance of 2015, following the Ivory Coast's offer in January 2015.

NautaDutilh advises banks on the financing of the acquisition of Weener Plastic Packaging Group by 3i

NautaDutilh advised an international syndicate of lenders on the financing of the acquisition of Weener Plastic Packaging Group ("WPPG") by 3i. The syndicate comprised of Bank of Ireland, Crédit Agricole Corporate and Investment Bank Deutschland, GE Corporate Finance Bank S.C.A., IKB Deutsche Industriebank AG, ING Bank N.V., Mizuho Bank, Ltd. and SOCIETE GENERALE, Frankfurt Branch.

3i invests approximately EUR 250 million. The transaction is still subject to the approval by the antitrust authorities.

Firm advises on £448m Placing and Open Offer by JUST EAT plc

JUST EAT, the world's leading online and mobile marketplace for takeaway food, announced on 21 May 2015 a Placing and Open Offer to raise approximately £450m through the issue of 105,397,759 new ordinary shares.
