Walder Wyss advises Avaloq Group on the acquisition of a 35% stake in Avaloq by Warburg Pincus

Avaloq, an international fintech company and a leader in integrated and comprehensive banking solutions, announced on 22 March 2017 the entry into an agreement with Warburg Pincus, a global private equity firm focused on growth investing, pursuant to which Warburg Pincus acquires a shareholding of approximately 35% in Avaloq from existing shareholders. The transaction values Avaloq in excess of CHF 1 billion. Closing is expected in the second quarter of 2017.

Homburger advised Intel | McAfee in the separation of McAfee

On April 3, 2017, Intel Corporation (NASDAQ: INTC) announced that it had completed the separation of its cybersecurity brand McAfee. McAfee has been transformed into a standalone business in which Intel continues to hold 49%, whereas new investor TPG Capital holds 51% in the security provider. The investment agreement between Intel and TPG Capital valued McAfee at USD 4.2 bn.

Setterwalls has advised Kaching with a SEK 15 million investment

Setterwalls has advised Kaching in connection with an investment from Creades amounting to SEK 15 million. Among the owners are founder Mathias Plank, Richard Båge, Rustan Panday and Daniel Soussan.

Kaching has in collaboration with Apple developed a digital and mobile checkout solution (Mobile Point of Sale) based on the iPad and iPhone. Kaching is going to start rolling out its solution towards Apple Premium Resellers in the spring of 2017.

On April 4, 2017, WISeKey International Holding Ltd announced that it has completed its acquisition of 85% of the equity interest in Quovadis Holdings Ltd., the holding company of a cybersecurity group with operations in several jurisdictions, including Bermuda, Switzerland, Germany and the Netherlands, for a total consideration valued at USD 17.4 m.

Milbank Advises Otto on Sale of Ratepay to Advent and Bain

Munich, April 4, 2017 – The international law firm Milbank, Tweed, Hadley & McCloy has advised Otto Group on the sale of Ratepay to Advent International and Bain Capital Private Equity. Ratepay specializes in processing payment methods for online shops and will be integrated into Concardis Group, the payment service provider the acquisition of which Advent and Bain Capital announced in January 2017. Ratepay will retain its brand and will be managed as an independent company within the Concardis Group.

Homburger advised Temenos Group AG in the issuance of CHF 150 m Bonds

Temenos Group AG issued CHF 150 m Bonds. Credit Suisse AG acted as lead manager together with BZ Bank Aktiengesellschaft. The bonds will be listed on the SIX Swiss Exchange.

TrustInSoft raises capital from investment funds managed by Idinvest Partners

The funds raised should enable TrustInSoft to strengthen its teams and prepare for its international expansion.

Founded jointly in 2013 by Fabrice Derepas, Benjamin Monate and Pascal Cuoq, TrustInSoft specialises in the development and sale of cybersecurity software and provides cybersecurity services.
