General Atlantic acquires Argus Media

Travers Smith LLP has advised Argus Media Limited (the "Company") in relation to the sale of the Company to a newco backed by General Atlantic ("GA") and its new senior management equity arrangements with GA and Argus Executive Chairman Adrian Binks.

The Travers Smith team was led by senior partner Chris Hale working alongside private equity partner Ian Shawyer.  They were supported by private equity associates Laura Pembridge and Adrian Duncan. Tax partners Jessica Kemp and Russell Warren and senior tax associate Andrew Callaghan provided tax advice to Management.

Roschier acts for Nokia in strategic brand and intellectual property licensing agreement

Roschier acts as the sole counsel to Nokia in a licensing deal that will see the NOKIA brand return to the mobile phone and tablet markets on a global basis.

Under a strategic agreement covering branding rights and intellectual property licensing, Nokia Technologies will enter into an exclusive global license with HMD global to create Nokia-branded mobile phones and tablets for the next ten years.

Building Blocks acquired by Dutch digital agency

Manchester-based digital agency Building Blocks has been acquired by Dept UK Holding Limited.

Building Blocks is a top 100 digital agency, which specialises in helping global companies solve complex problems using digital technologies.

Based on Portland Street in Manchester and with additional offices in the US and Spain, the privately-owned agency was founded in 2007 by Andrew Iddon and Jonathan Whiteside. The two founding partners along with third partner Jasper van de Luijtgaarden will retain an interest in Dept UK Holding Limited as part of the deal.

SAUTER acquires Pandomus

Sauter FM GmbH, a German facility management company with registered seat in Augsburg being part of the globally operating Basel-headquartered SAUTER group, acquires the majority of shares in Pandomus AG, a Cologne-headquartered full service provider for building technology with a turnover of approximately EUR 15m and 80 employees.

VISCHER advised SAUTER in this transaction. The VISCHER-team comprised Dr. Robert Bernet (Partner, Corporate) and Dr. Peter Kühn (Managing Associate, Corporate).

APN announced the capital raising and proposed demerger of NZME on 11 May 2016.

Madrid team wins significant case for Mediapro

Our Intellectual Property group in Madrid, led by Raúl Bercovitz (Of Counsel), has recently represented Mediapro, a multimedia communications group.

The team was successful in obtaining a favourable ruling made by section 28 of the Madrid Provincial Court which dismissed in its entirety the appeal brought by the managers of rojadirecta against the decision by the Madrid Commercial Court to apply precautionary measures against the website from making links available to broadcasts of football matches.
