Charles Russell Speechlys advises on sale of DealHub

Charles Russell Speechlys has advised the shareholders of Option Computers Limited ("OCL") on the sale of the company to Markit for an undisclosed sum.

OCL is a leading provider of trade processing and trading services to the foreign exchange market through its flagship product, 'DealHub', which uses low latency, high throughput solutions to cover the complete trading lifecycle across all FX business functions.

Watson Farley Williams (“WFW“) has advised the Italian start-up WalletSaver S.r.l. (“WalletSaver”) on the negotiation of an “Application Development Agreement” with the Brazilian consumer association “PROTESTE - Associacao Brasileira de Defesa do Consumidor” (“Proteste”), an independent consumer advocacy association which operates within the international framework of the non-profit organization Euroconsumers. Proteste is now the largest such group in Latin America, with close to 300,000 members.

UTV Media Sells Television Business ITV for £100m

Travers Smith LLP has advised UTV Media on the sale of its television business to ITV in a transaction valued at £100 million.

UTV Media is the leading commercial broadcaster in Northern Ireland. Its television business consists of UTV Northern Ireland and recently launched UTV Ireland. The company has operated since 1959 and broadcasts many of Northern Ireland's most watched programmes.  UTV Media will  retain its successful portfolio of radio stations, including Talksport, which are responsible for about 60% of UTV Media's revenue

With a team led by Hamburg-based Partner Dr. Jörg Schewe, Heuking Kühn Lüer Wojtek advised Konica Minolta comprehensively on the subsidiary’s reorganization and merger in connection with matters of corporate law and employment law. In addition to preparing and negotiating several asset deal purchase contracts, the merger agreement and the merger resolutions were also drafted and notarized.

Bird & Bird acts for AXIO Data Group on its sale of MIMS Group for $250m

Bird & Bird's London and Singapore Corporate teams have acted for AXIO Data Group on the sale of Medica Asia (Holdco) Limited to a Japanese purchase consortium comprising Mitsui and SMS.

The companies purchased the shares in Medica Asia - the holding company of the MIMS Group, which provides drug information to healthcare professionals in the Asia-Pacific region - for US$250m.

Swisscom and Coop to build online marketplace

On October 14, 2015 the ComCo approved the creation of the joint venture Eos Commerce AG by Coop and Swisscom. Eos Commerce will develop, promote and operate an online marketplace targeted at Swiss customers. This joint venture has the potential to become Switzerland's leading e-commerce platform while combining one of the two major retailers in Switzerland with Switzerland's leading telecom company.

Homburger advised Swisscom and Coop in all Swiss and EU merger control matters.

European law firm Fieldfisher has advised the global leader in software solutions on the development of its BCRs

Fieldfisher has advised BMC Software on the development of its Binding Corporate Rules application as a Controller and a Processor and liaised with the French Data Protection Authority (CNIL) throughout the approval process. BMC's was the first enterprise IT management provider to obtain Controller and Processor BCR and was officially approved by the CNIL on 17 July 2015.
