Davis Polk Advises Comcast Corporation on Its $2 Billion Notes Offering

Davis Polk advised Comcast Corporation on its $2 billion SEC-registered debt offering of 3.375% notes due 2025 and 4.2% notes due 2034. The offering was made through an underwriting syndicate led by Credit Suisse Securities (USA) LLC, J.P. Morgan Securities LLC, Lloyds Securities Inc., Mizuho Securities USA Inc., and SunTrust Robinson Humphrey, Inc.   

Comcast is a global media and technology company with two primary businesses, Comcast Cable and NBCUniversal.   

Kirkland & Ellis Represents Infineon Technologies AG in Acquisition of International Rectifier for $3.0 Billion

Kirkland & Ellis LLP represents Infineon Technologies AG (FSE: IFX / OTCQX: IFNNY), which announced today it has signed a definitive agreement with International Rectifier Corporation (NYSE: IRF), under which Infineon will acquire International Rectifier for US$40 per share in an all-cash transaction valued at approximately US$3.0 billion. The closing of the transaction is subject to regulatory approvals in various jurisdictions and customary closing conditions, as well as approval of International Rectifier stockholders.

OpenGI - sale of OpenGI to Montagu Private Equity

Slaughter and May is advising OpenGI, one of UK and Ireland's leading suppliers of business-critical software and services to the general insurance market, and its principal selling shareholders (including Peter Cullum) on the sale of OpenGI to Montagu Private Equity. Montagu Private Equity is investing alongside the current management team of OpenGI. The transaction, which was announced on 18 August 2014, is subject to regulatory approval and other customary conditions.

Herbert Smith Freehills has advised Dimension Data Australia in relation to its proposed acquisition of Oakton Limited (Oakton) by way of scheme arrangement for A$171 million.

Dimension Data is an ICT services provider owned by Japan’s Nippon Telegraph and Telephone Corporation (NTT). Its acquisition of Oakton, a technology and consulting services company, will significantly expand Dimension Data’s presence in Australia and allow it to provide the type of end-to-end solutions that its clients are seeking.

CMS Hasche Sigle advises Bruker on sale of division to Analytik Jena

Frankfurt/Main - US technology company Bruker Corporation is selling its Inductively Coupled Plasma Mass Spectrometry (ICP-MS) business to Analytik Jena AG. The acquisition is expected to close in September. The purchase price was not disclosed. As part of the asset deal, Analytik Jena will acquire patents, licensing rights, global research, development and production capacity as well as most of the employees in the ICP-MS division.

(Millicom) in connection with the $4.4 billion combination of its Colombian telecommunications business, conducted through its subsidiary Colombia Móvil S.A. (Colombia Móvil), with UNE EPM Telecomunicaciones S.A. (UNE), a subsidiary of Empresas Públicas de Medellín E.S.P. (EPM). The transaction was completed on August 14, 2014.
