Victory for ABB in the Netherlands: availability of ‘passing-on defence’ in follow-on damage claim proceedings confirmed for the first time.

Freshfields Bruckhaus Deringer has represented ABB, a global leader in power and automation technologies, before the Court of Appeals of Arnhem-Leeuwarden (the Netherlands) in a successful appeal concerning the ‘passing-on defence’ in follow-on damage claim proceedings.

In its judgment of 2nd September 2014, the Court of Appeals of Arnhem-Leeuwarden (the Netherlands) ruled that it clearly follows from EU case law, EU declared policy and Dutch civil law that claimants in cartel damages proceedings should not be overcompensated.

DLA Piper advises Wipro on Australian aspects of ATCO acquisition

DLA Piper has advised Indian outsourcing company Wipro on the Australian component of a global acquisition deal worth roughly AU$208 million.

Wipro has acquired Canadian-based ATCO's IT subsidiaries in Australia and North America, as well as entering into a series of Master Services Agreements for a period of 10 years that will see them provide a complete suite of IT services to ATCO.

Debevoise Advises Amazon.com in Its Agreement to Acquire Twitch Interactive

Debevoise & Plimpton LLP is advising Amazon.com, Inc. [“Amazon”] in its agreement to acquire Twitch Interactive, Inc. [“Twitch”], the leading live video platform for gamers. Under the terms of the agreement, Amazon will acquire all of the outstanding shares of Twitch for approximately $970 million in cash, as adjusted for the assumption of options and other items. The acquisition, which is subject to customary closing conditions, is expected to close in the second half of 2014.

DLA Piper advises Mobo Tap on investment transaction with Changyou

DLA Piper has advised MoboTap Inc. ("Mobo Tap"), a Cayman Islands company and the Chinese developer of the Dolphin Browser, on an investment transaction with Changyou.com Ltd. ("Changyou"), a leading developer and operator of online games, for nearly US$ 100 million.

MoboTap developed the popular Dolphin Browser, designed for the Android operating system and iOS, and was one of the first alternative browsers for the Android platform. Changyou is an important investor in the online sector in China and now operates some of the most popular online games in China.

Time Inc.'s Sale of Grupo Expansion to Southern Cross

On June 26, 2014, Time Inc. announced the sale of its Mexico-based operation, Grupo Expansion (“GEx”), to the Latin American private equity firm Southern Cross. GEx is Mexico’s second largest magazine publisher with 16 titles and 10 websites. Cravath represented Time Inc. in connection with this transaction, which closed on August 1, 2014. The terms of the transaction were not disclosed.

Latham & Watkins Advises Twitch Interactive in $970 Million Acquisition by Amazon.com

Amazon.com, Inc. (NASDAQ: AMZN) has announced that it has reached an agreement to acquire Twitch Interactive, Inc., the leading live video platform for gamers. Under the terms of the agreement, which has been approved by Twitch’s shareholders, Amazon will acquire all of the outstanding shares of Twitch for approximately $970 million in cash, as adjusted for the assumption of options and other items. Subject to customary closing conditions, the acquisition is expected to close in the second half of 2014.

Osborne Clarke advises Arrow Media on Channel 4 Growth Fund investment

Osborne Clarke has advised independent production company, Arrow Media on funding from Channel 4's £20m Growth Fund.

The Channel 4 Growth Fund was launched earlier this year and aims to nurture the independent sector by providing access to funding for small to medium sized creative companies based in the UK. The investment will enable Arrow Media to expand its senior team and grow its global content portfolio of rich content, across live, scripted, factual and factual entertainment programming.
