Norton Rose Fulbright advises POLITICO on its joint venture with German publisher Axel Springer

Norton Rose Fulbright has advised the Washington DC-based news organisation POLITICO in its entry into the European market. The team handled both US tax and European corporate and tax matters in its formation of a 50-50 joint venture to start a European version of POLITICO with German publisher, Axel Springer. The new digital political media offering should provide in-depth coverage of European politics and policy.

The venture, announced on September 9, will involve significant investments by both companies. The new media company will be headquartered in Brussels.

Weil Obtains Decisive Victory for Adobe Systems in Patent Infringement Case

Weil obtained a decisive victory for Adobe Systems on September 8, 2014, when a California federal jury found that two digital-rights management patents asserted by plaintiff Digital Reg of Texas LLP were invalid because the technology was obvious. The jurors also ruled that there was no infringement by Adobe on one of the patents, without reaching infringement on the second asserted patent.

DLA Piper advised Acturis Limited, a portfolio company of Summit Partners, on the acquisition of the software company NAFI. Located in the North Rhine-Westphalian city of Höxter, NAFI group develops and distributes software solutions for the collection, calculation and analysis of car insurances. The NAFI management will be staying on.

Paul Hastings Advises ZenithOptimedia on Acquisition of Germany’s AKM3

Paul Hastings LLP has advised ZenithOptimedia, part of the Publicis Groupe, on the proposed acquisition of AKM3. The transaction is subject to the approval of the German Federal Cartel Office.

The Paul Hastings team was led by Frankfurt M&A partner Regina Engelstädter and included partners Jan Gernoth and Ali Sahin in Frankfurt, M&A partner Aline Poncelet and antitrust partner Pierre Kirch in Paris, and senior tax advisor Uwe Halbig and attorney Finn Lubberich in Frankfurt.

CMS advises Telefónica Deutschland on EUR 3.62 billion capital increase

Telefónica Deutschland Holding AG is moving to implement a cash capital increase to help finance its acquisition of E-Plus. The increase, which was approved by the shareholders' meeting on 20 May 2014, is intended to raise around EUR 3.62 billion gross proceeds. The capital increase will serve to provide the cash element of the purchase price for the acquisition of E-Plus.

Macfarlanes advises The Engine Group on its acquisition by Lake Capital

Macfarlanes has advised integrated marketing communications group The Engine Group (Engine) on its sale to a portfolio company of private equity firm Lake Capital.

Engine will become part of a larger group including ORC International and potentially another Lake Capital investment Trailer Park.  The combined businesses would have revenues of around $400m.

Squire Patton Boggs has advised technology startup ScriptRock on its US$8.7 million Series A Financing with August Capital, Square Peg Ventures and Valar Ventures.  The funds will be used to build up the company’s sales, marketing and engineering teams.

Founded in Australia, and now based in Palo Alto, California, ScriptRock specializes in DevOps and configuration monitoring, helping enterprises rapidly deliver software across internal or externally managed services.  It serves more than 400 enterprises worldwide, including Cisco, Trek, Amadeus and ADP.
