Shearman & Sterling represented SafeNet and Vector Capital in Gemalto’s acquisition of SafeNet from Vector Capital in an $890 million transaction.

Gemalto is a world leader in digital security with 2013 annual revenues of €2.4 billion and more than 12,000 employees operating out of 85 offices and 25 research and software development centers, located in 44 countries.

Integrating the co-browsing technology to LivePerson's platform will enhance the real-time dialogue between businesses and customers, for example via video chats. It enables a couple of users to access the same web view simultaneously. Synchronite had been founded in 2008 by Christian Thum and Stefan Seedorf.

Reed Smith advises Yahoo! on constitutional complaint against the neighbouring right for press publishers

Global law firm Reed Smith has been instructed by Yahoo! and has filed a constitutional complaint on its behalf with the German Federal Constitutional Court. The complaint to the highest German court challenges the highly controversial neighbouring right for press publishers. Reed Smith is working with constitutional law professor Alexander Blankenagel from the Humboldt University in Berlin on the matter.

White & Case Advises Play Topco S.A. on PIK Toggle Transaction

London, Warsaw, August 2014 ... Global law firm White & Case LLP has advised Play Topco S.A., the indirect shareholder of Polish mobile telecoms operator P4 Sp. Z o.o., on its €415 million senior PIK toggle notes offering.

P4 Sp. Z o.o., which trades as Play, is a portfolio company co-owned by Olympia Development and London based investment firm, Novator. The proceeds of the transaction have been distributed to shareholders.

Kirkland Advises Qihoo 360 on US$900m Notes Offering

Kirkland represented Qihoo 360 Technology Co. Ltd. in connection with the offering of US$900 million of convertible senior notes. This was the largest-ever convertible bond issued by a US-listed Chinese technology company and the largest convertible bond in Asia in the last three years. The offering consisted of a private placement of US$450 million principal amount of convertible senior notes due 2020 and US$450 million principal amount of convertible senior notes due 2021, with a 30-day over-allotment option to buy an additional US$135 million of the notes.

Olswang advises leading Philippines telecoms operator on investment in major German internet incubator

International TMT law firm Olswang has advised the leading telecoms operator in the Philippines, Philippine Long Distance Telephone Company (PLDT), on the establishment of a strategic cooperation with Germany's largest Internet-startup incubator, Rocket Internet AG, to develop online and mobile payment solutions. Under the terms of the partnership agreement PLDT will invest €333m for a 10 percent stake in Berlin-based Rocket Internet.
