Hemisphere Media Group to AcquireThree Leading Spanish-LanguageCable Television Networks

Paul, Weiss client Hemisphere Media Group, Inc. announced that Hemisphere Media Holdings, LLC, its indirect wholly owned subsidiary, has entered into a definitive agreement to acquire three Spanish-language cable television networks, Pasiones, Centroamerica TV and TV Dominicana, from Media World, LLC, a company fully owned by Imagina US, a major content and service provider in the Hispanic market, for approximately $102.2 million in cash, subject to certain post-closing adjustments. The acquisition is structured as an asset purchase and is expected to be funded with cash on hand.

Kirkland & Ellis represents TPV Technology Limited (listed on both Hong Kong and Singapore stock exchanges) in its proposed acquisition of the remaining 30-percent stake in TP Vision, the television joint venture with Koninklijke Philips N.V. (Philips; NYSE: PHG, AEX: PHIA). The parties announced the signing of a term sheet for the proposed acquisition on January 20, 2014. The signing of definitive agreements is expected to take place in the first quarter of 2014.

DLA Piper represented Groupon in its acquisition of Ideeli, a New York-based online fashion retailer, for US$43 million. Founded in 2007, Ideeli is one of the largest fashion flash sites and provides discounted access to top brands in apparel, accessories and home décor. The acquisition enhances Groupon’s fashion offerings and industry relationships with strategic brands.

Freshfields advised Guardian Media Group on sale of Trader Media Group

Freshfields Bruckhaus Deringer has advised Guardian Media Group plc, publisher of theguardian.com and the Guardian and Observer newspapers, on its agreement to sell its 50.1% stake in Trader Media Group to its joint venture partner Apax Partners.

The Trader Media disposal, subject to regulatory approval and final completion, forms part of a five-year digital-first strategy that has delivered increasing advertising revenues, improved circulation figures and enhanced investment returns as GMG focuses on its core assets.

Kirkland & Ellis represents 21st Century Fox in its sale of a 47 percent stake in Star China TV to its joint venture partner, China Media Capital. The sale was announced on January 2, 2014. Star China operates three 24-hour Mandarin channels: Xing Kong, Xing Kong International and Channel [V] Mainland China, as well as the Fortune Star Chinese movie library.

The team was led by corporate partners Nicholas Norris and Steven Tran, with assistance from corporate associates Joey Chau and Anthony Chan, and debt finance partner Ashley Young and associate Aly Kassam.
