Wragge & Co's Corporate team has advised on the sale of cloud services provider Intercept IT Limited to Alternative Networks plc. A team led by partner Baljit Chohan advised the vendors on the deal, worth £13 million.

Intercept IT is a leading UK cloud service provider and, since 2002, the management team has grown the business into an established provider of Hosted Desktop solutions to the SME market. The sale will enable Alternative Networks to broaden its range of IT services and provide it with a vehicle to deliver additional cloud services.

DLA Piper represented EagleView Technology Corporation (EVT), a provider of geo-referenced aerial image capture and visual-centric data analytics and solutions, in the negotiation of the agreement by which EVT will be acquired by Verisk Analytics, Inc. for US$650 million.  The transaction is subject to customary closing conditions, including the receipt of necessary regulatory approvals.  

The Austrian call center specialist Competence Call Center Holding GmbH (CCC) has founded, together with airberlin, the Luftfahrtservice Call Center GmbH (LCC), based in Berlin. The joint venture company will serve to further professionalise airberlin’s customer services. Some 200 airberlin employees have been transferred from its customer services to LCC.  From now on, CCC will operate exclusively for airberlin as a call center service provider.

Davis Polk is advising Telecom Italia S.p.A. on its $960 million sale of its entire controlling interest in Telecom Argentina to Fintech Telecom LLC, an affiliate of Fintech Advisory, Inc.

Telecom Italia is Italy’s largest telecommunications company, with operations in Italy and Brazil, and is also involved in the media and manufacturing industries. Telecom Argentina is the major local telecommunications company for the northern part of Argentina, including the city of Buenos Aires.

Simmons & Simmons has MTN Group Limited (MTN) on the sale of mobile network towers by its subsidiaries, MTN Rwandacell Limited (MTN Rwanda) and MTN Zambia Limited (MTN Zambia), to IHS Holding (IHS).

Virtusa Corporation, a US Nasdaq listed company, has, through its Dutch subsidiary, acquired the Swedish company TradeTech Consulting Scandinavia AB. The acquisition expands Virtusa’s leading position within the banking, financial services and insurance industries by increasing its asset management and treasury services domain and technology expertise. The acquisition will also result in an expansion of Virtusa’s footprint in the Nordics.

IBM announced a definitive agreement to acquire Fiberlink Communications, a mobile management and security company. Cravath represented IBM in connection with this transaction. Financial terms were not disclosed. The acquisition is expected to close later this year and is subject to regulatory review and the satisfaction of customary closing conditions.

Orrick, Herrington & Sutcliffe LLP is advising NASDAQ-listed Pactera Technology International Ltd. (“Pactera”), a global consulting and technology services provider headquartered in China, in its $625 million acquisition by a consortium led by Blackstone Group L.P.

Orrick, Herrington & Sutcliffe LLP recently closed an $800 million, eight-year, Rule 144A/Regulation S bond offering for  Millicom International Cellular, a leading emerging markets telecom and media company.  The proceeds from the offering will be used to finance a business combination between Millicom’s Colombian operations and the operations of Millicom's Colombian partner, UNE-EPM.
 

Orrick, Herrington & Sutcliffe LLP secured a significant victory on behalf of Ruckus Wireless, Inc., an innovator and world leader in Wi-Fi access points.  On October 31, 2013, a Delaware federal jury returned a verdict for Ruckus, finding that Ruckus’ Wi-Fi access points did not infringe plaintiff NETGEAR, Inc.’s U.S. Patents No. 6,621,454 and 7,263,143.  The ’454 and ’143 patents generally involve technology for detecting, diagnosing, and then mitigating periodic interference in wireless communication devices.
