CMS advises Allianz Real Estate Germany on acquisition of "Haus an der Wien"

Allianz Real Estate Germany and various investors within the Allianz Group have acquired the "Haus an der Wien" property located at Vordere Zollamtsstraße in Vienna. The purchase price was around EUR 94 million. The vendors are two companies belonging to the SIGNA Group. The transaction was structured as a share deal, representing Allianz’s first investment in a property company in the Austrian capital.

Osborne Clarke advises John Laing in the acquisition of wind park “Klettwitz” Schipkau-Nord of Ventotec

Osborne Clarke has advised John Laing plc in the planned acquisition of wind park “Klettwitz” of Ventotec GmbH. The company will invest approximately €45-50m to acquire the Klettwitz wind farm. In addition the wind park will be refinanced with new project finance.

Klettwitz is set to be one of the country’s biggest repowering projects. The wind park consists of 27 wind turbines each with an output of 3,3 MW manufactured by Vestas. It has a total capacity of 89 MW. The previously installed capacity amounted to 59 MW.

A team of Heuking Kühn Lüer Wojtek led by Stuttgart-based partner Dr. Hermann Ali Hinderer, LL.M. comprehensively advised Dr. Frank Sprachen und Reisen GmbH (DFSR) on the acquisition of assets out of insolvency of SouthernCross.eu GmbH, a specialist for high school stays abroad, from insolvency administrator Gerhard Walter (Walter, Riegger und Partner, Tübingen). The acquisition price was not disclosed.

Ashurst advises ERG Renew S.p.A. on the acquisition of a 206 MW wind portfolio in France and Germany

Ashurst advises ERG Renew S.p.A., a major Italian wind energy operator and one of the leading companies in Europe, on the acquisition of a 206 MW wind portfolio located in France and Germany, owned by Impax Asset Management Limited.

By means of this transaction, ERG Renew S.p.A. will consolidate its position in Europe, achieving a 1.7 GW wind portfolio, and significantly strengthen their position in France, where they have already acquired earlier this year a 63.4 MW wind portfolio, and in Germany.

KWM advised NFME on the acquisition of AMD’s semiconductor packaging assets

On 15 October 2015, Nantong Fujitsu Microelectronics Co., Ltd. (NFME) successfully signed the share purchase agreement with Advanced Micro Devices, Inc. (AMD), a global giant in semiconductor R&D and manufacturing. Under the agreement, NFME agrees to pay US$370 million to acquire 85% of each of AMD’s Chinese subsidiary and Malaysian subsidiary (AMD Technologies (China) Co., Ltd. in Suzhou, China, and Advanced Micro Devices Export Sdn. Bhd. in Penang, Malaysia).

Clifford Chance advises Triuva on its acquisition of the "Shell-Haus" in Berlin

Clifford Chance has advised TRIUVA Kapitalverwaltungsgesellschaft mbH (formerly IVG Institutional Funds) on its acquisition of the "Shell-Haus" in Berlin as part of a share deal. The purchase price amounts to approximately EUR 80 million. The vendor is a subsidiary of Orion European Real Estate Fund IV, C.V., which is sponsored by Orion Capital Managers.

TRIUVA Kapitalverwaltungsgesellschaft mbH is a leading provider and manager of structured real estate products for institutional investors in Germany with assets under management of around EUR 10 billion.

Herbert Smith Freehills advises Growthpoint on A$20.3 million acquisition of NSW industrial property

Herbert Smith Freehills has advised Growthpoint Properties Australia Limited (Growthpoint) on its $20.3 million acquisition of a 14.1 hectare property that is a key part of Australia’s automotive industry.

Located in the New South Wales coastal town of Wollongong, the property is primarily comprised of an asphalt car park constructed in 2012 and is 100% leased for 15 years to Patrick Autocare. Patrick Autocare uses the Kembla Grange property to store thousands of cars imported into Australia.

Herbert Smith Freehills advises TWE on its acquisition of Diageo's UK and US wine business

Herbert Smith Freehills has advised Treasury Wine Estates (TWE) on its US$600 million acquisition of the UK and US assets of Diageo's wine business and the negotiation of a suite of transitional service agreements with Diageo, as well as the A$486 million fully underwritten equity entitlement offer to part fund the acquisition.

The cash payment of US$600 million comprises US$552 million plus the assumption of capitalised leases of US$48 million.
