WFW advises Städtisches Klinikum München on the sale of its blood donor service

Watson Farley & Williams (“WFW“) has advised Städtisches Klinikum München, Munich’s Municipal Hospital, on the sale of its blood donor service (Blutspendedienst München) to the blood donor services of the Bavarian Red Cross (Blutspendedienst des Bayerischen Roten Kreuzes GmbH – “BSD-BRK”). Together with the sale, a long-term supply contract was agreed with BSD-BRK.

The Carlsberg Foundation sells properties worth DKK 1.1bn

The Carlsberg Foundation has sold its limited partnership companies that together own properties worth DKK 1.1bn to three Danish pension funds. Plesner has assisted the Carlsberg Foundation with the transaction.

The Carlsberg Foundation has entered into an agreement to sell all its shares in the limited partnership companies "Ved Boldparken", "Munken", "Haraldsborg", "Søborg Huse", "Høeghsminde Parkbebyggelse" and "C.F. Richsvej".

McCann FitzGerald advises BBAM Aircraft Management LP on $1.2 billion aircraft portfolio sale and securitization

We advised BBAM Aircraft Management LP as Irish counsel in connection with a $1.2 billion aircraft portfolio sale and securitization, dubbed ECAF I, backed by 49 aircraft on lease to 37 airlines in 25 countries and with an average age of 6.5 years. The transaction is split between three classes of notes: a $459.3 million A-1 tranche, a $590.6 million A-2 note and a $160 million B-1 note.

Gernandt & Danielsson advises Studsvik in divestment of business area

Gernandt & Danielsson advises Studsvik AB (publ) in its divestment of its waste treatment business in Sweden and Great Britain to the French energy corporation EDF for a preliminary purchase price of SEK 355 million on a debt free basis.

The scope of the transaction includes Studsvik’s waste treatment assets and facilities situated at the Studsvik site, near Nyköping in Sweden, and the Metal Recycling Facility near Workington in the UK. EDF S.A makes the acquisition through its wholly owned subsidiary EDF Dévelopment Environment SA.

DLA Piper advises on sale of multi-unit Planet Fitness franchisee

DLA Piper represented the Kindler family and other shareholders in the recapitalization of a ten-unit Planet Fitness franchisee based in Harrisburg, Pennsylvania. The family will maintain an ownership stake in the newly created National Fitness Partners and will manage the business in conjunction with the new investor, private-investment firm Argonne Capital Group LLC, and other shareholders.

Balder owns one third of the property.

Noerr advises BayWa on sale of company headquarters for €280 million

Noerr has advised BayWa AG on concluding an agreement for the sale of its Munich corporate headquarters currently undergoing renovation. Paying €280 million, the investment manager WealthCap will acquire 94.9 per cent of the shares in a project company owning the headquarters. The remaining 5.1 per cent share will still be held by BayWa AG.
