Milbank Advises Terra Firma on Financing Facility for SportGroup

Milbank, Tweed, Hadley & McCloy LLP has advised the private equity investor Terra Firma Capital Partners on its financing facility for SportGroup, a global leader in the manufacture of artificial turf systems and synthetic floor coverings. SportGroup is owned by private equity house Equistone Partners Europe. The new financing facilities are structured as an alternative to an equity co-investment and will support SportGroup’s growth plans.

A Milbank team led by partner Thomas Ingenhoven advised Terra Firma on the financing transaction.

Baker McKenzie's Paris and Frankfurt offices, together with Esin Attorney Partnership, the Turkish member firm of Baker McKenzie International, advised the lenders in relation USD306,000,000 and EUR956,500,000 Dual Currency Term Loan Facilities provided to Yapi ve Kredi Bankasi A.S. as Borrower.  Mizuho Bank, Ltd. acted as agent, Standard Chartered Bank acted as Documentation Agent, Industrial and Commercial Bank of China and Standard Chartered Bank acted as joint coordinators.

Pestalozzi advised Cott Beverages on USD 750 Million Senior Notes Offering

Pestalozzi advised Cott Beverages and Deutsche Bank Securities Inc., J.P. Morgan Securities LLC, SunTrust Robinson Humphrey, Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Wells Fargo Securities, LLC, as joint book-running managers, and PNC Capital Markets LLC, as co-manager on a Rule 144A/Regulation S offering. The offering featured a USD 750 million aggregate principal amount of senior notes due 2025 issued by Cott Beverages combined with a repurchase of notes.

Homburger advises Helvetia on the issuance of EUR 500 m hybrid bonds via a repack structure

On April 11, 2017, Helvetia Schweizerische Versicherungsgesellschaft AG (Helvetia) successfully issued EUR 500 m hybrid bonds. Helvetia made use of a repack structure whereby issuers domiciled in Switzerland may access international debt capital markets free of withholding tax. Helvetia placed loan notes (the Loan Notes) governed by Swiss law and guaranteed on a subordinated basis by Helvetia Holding AG to a multi-issuance vehicle domiciled in The Netherlands, which in turn issued secured notes (the Secured Notes) governed by English law and secured by the claims under the Loan Notes.

Heuking Kühn Lüer Wojtek advises Cloud No 7 on interim financing and on capital market issues

Supported by Heuking Kühn Lüer Wojtek, led by Dr. Anne de Boer, Cloud No 7 GmbH took out interim financing in the form of a secured bond. Cloud No. 7 GmbH is building the Cloud No 7 residential and hotel complex in Stuttgart's Europaviertel sector behind the main railway station; the hotel is leased to Steigenberger Hotels AG. Construction is funded by a project development bond that was issued in 2013 and will be due in July 2017.

Voyage Care Completes £250 Million Notes Offering

Simpson Thacher represented Voyage Care BondCo PLC, a direct wholly owned subsidiary of Voyage BidCo Limited (“Voyage Care”) and indirect wholly owned subsidiary of Voyage Care HoldCo Limited, a portfolio company of Partners Group and Duke Street, in connection with a Rule 144A and Regulation S offering of (i) £215 million in aggregate principal amount of its 5.875% Senior Secured Notes due 2023 and (ii) £35 million in aggregate principal amount of its 10% Second Lien Notes due 2023. The transaction closed on May 8, 2017.

Dentons advises DAMAC on tender offer and new sukuk issuance

Dubai—Dentons has advised DAMAC Real Estate Development Limited, a leading developer of high-end and luxury residential property in the Middle East, on its tender offer in respect of the outstanding US$650 million Trust Certificates, due 2019, and a simultaneous new debt issuance of a US$500 million five year Regulation 'S' senior unsecured sukuk, maturing in April 2022, which completed on 20 April 2017. The new Sukuk was issued via a Cayman Islands special purpose vehicle, Alpha Star Holding III Limited.
