Cravath represented the underwriters, led by Wells Fargo Securities, Citigroup and Credit Agricole CIB, in connection with the US$150 million registered high-yield senior debt offering of Sabra Health Care Limited Partnership and Sabra Capital Corporation, wholly owned subsidiaries of Sabra Health Care REIT, Inc., a self-administered, self-managed REIT that, through its subsidiaries, owns and invests in real estate serving the health care industry. The transaction closed on October 10, 2014.

Shearman & Sterling Advises Underwriters in Atmos Energy’s $500 Million Offering of Senior Notes

Shearman & Sterling acted as counsel to the underwriters, represented by Credit Agricole Securities (USA) Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Wells Fargo Securities, LLC, in connection with Atmos Energy’s offering of $500 million aggregate principal amount of 4.125% Senior Notes due 2044.

HCA Completes $2 Billion High Yield Debt Offering

Simpson Thacher recently represented HCA Inc. in its high yield offering of $600 million aggregate principal amount of 4.25% Senior Secured Notes due 2019 and $1.4 billion aggregate principal amount of 5.25% Senior Secured Notes due 2025. HCA intends to use the net proceeds for the redemption of a series of its existing secured notes, for related fees and expenses and for general corporate purposes.

HCA is the largest non-governmental hospital operator in the U.S. and a leading comprehensive, integrated provider of healthcare and related services.

Morgan Securities LLC, as solicitation agent, in connection with SEC-registered consent solicitations and offers to guarantee by Whiting Petroleum Corporation (“Whiting”) to the holders of the 8.125% Senior Notes due 2019, 5.5% Senior Notes due 2021 and 5.5% Senior Notes due 2022 issued by Kodiak Oil & Gas Corp.

DLA Piper advises Dignity Group on £595m financing

DLA Piper has advised Dignity Group ("Dignity") on its exchange offer and further issue of secured notes. The bond issue will be followed by a return of circa £64 million to shareholders, equating to £1.20 per ordinary share. Following the transaction the group's annual debt service costs are expected to reduce from £40 million to approximately £33 million.
