Vinge has advised D. Carnegie & Co in connection with a directed issue of approximately 6.5 million Class B shares

Vinge has advised D. Carnegie & Co AB (publ) (”D. Carnegie”), listed on Nasdaq Stockholm, in connection with the company’s directed cash share issue of 6,539,900 Class B shares at a subscription price of SEK 72.50 per share, raising proceeds of approximately SEK 474,000,000 before transaction costs. The subscription price was determined through an accelerated book-building process. Subscribers in the share issue were approximately 60 Swedish and international institutional investors.

McCann FitzGerald advises BofA Merrill Lynch, Goodbody and Davy on €176m secondary equity capital raise by Cairn Homes plc

McCann FitzGerald advised BofA Merrill Lynch and Goodbody (Joint Global Co-ordinators and Joint Bookrunners) and Davy (Co-Bookrunner) in connection with the firm placing and placing and open offer of approximately 157.6 million new ordinary shares in Cairn Homes plc, raising gross proceeds of approximately €176.5 million. The new shares were admitted to listing on the standard listing segment of the Official List of the FCA and to trading on the main market for listed securities of the London Stock Exchange plc on 19 April 2016.

Darrois Villey Maillot Brochier advises Fimalac on the simplified tender offer initiated on its own shares under its share repurchase program. The offer is made for a maximum number of shares representing up to 6.3% of Fimalac’s share capital, for a maximum amount of approximately €171 million. The offer, which was cleared by the Autorité des marchés financiers on 12 April 2016, will be open from 15 April to 12 May 2016.

Shearman & Sterling Advises Sponda on its €220.8 Million Rights Offering

Shearman & Sterling advised Sponda in connection with its €220.8 million capital increase by way of a rights issue. Sponda intends to use the proceeds from the capital increase to partially finance its acquisitions of Ab Mercator Oy and Ab Forum Capita Oy, which own prime real estate properties in the Helsinki central business district. The shares issued and sold in the rights offering were listed on Nasdaq Helsinki.

Bär & Karrer advises GeNeuro on first Swiss IPO on Euronext in Paris

GeNeuro SA, Plan-les-Ouates, Switzerland, a biopharmaceutical company developing new treatments for autoimmune diseases including multiple sclerosis, has successfully completed its initial public offering on 18 April 2016 on Euronext in Paris. This transaction is the first ever IPO of a Swiss company on the regulated market of Euronext in Paris and the first IPO of the year on that market.The admission price and issue price of GeNeuro was set at €13 per share. Market capitalization on the day of listing was around €190 million, and the IPO raised a total of €33 million.

Norton Rose Fulbright advises The Islamic Corporation for the Development of the Private Sector on its first public fund raising in the debt capital markets

Norton Rose Fulbright has advised The Islamic Corporation for the Development of the Private Sector (ICD) in connection with its debut public issuance of US$300,000,000 trust certificates, which were admitted to trading on the London Stock Exchange and on Nasdaq Dubai.

While backed by the credit of ICD as obligor, the certificates were issued by Hilal Services Ltd, a Cayman Islands incorporated SPV. The certificates will pay a profit rate of 2.468 per cent and will mature in 2021.

Norton Rose Fulbright and business law firm Racine have advised Mediawan and its founders on all the legal aspects of the first listing of a special- purpose acquisition company (SPAC) in France.

The SPAC has been incorporated as a société anonyme according to the French law by its three founders: Xavier Niel, founder and main shareholder of Iliad, Matthieu Pigasse, Global Head of M&A and Sovereign Advisory of Lazard Group, and Pierre-Antoine Capton, founder of 3e OEil Productions, the largest French independent media producer.
