VINGE ADVISES THE SECOND SWEDISH NATIONAL PENSION FUND AND THE SIXTH SWEDISH NATIONAL PENSION FUND AND THEIR PORTFOLIO COMPANY NORRPORTEN AB (PUBL) IN RELATION TO AN EXIT PROCESS

Vinge advises the Second Swedish National Pension Fund and the Sixth Swedish National Pension Fund and their portfolio company Norrporten AB (publ) in relation to the exit process entailing a sale of Norrporten to a private buyer or an IPO and listing of shares in Norrporten on Nasdaq Stockholm. The exit process resulted in a sale of Norrporten to Castellum AB (publ), listed on Nasdaq Stockholm, at a price of SEK 14.0 billion, based on an issue price in Castellum’s issue in kind of SEK 133 per share and including a dividend of SEK 464 million.

Successful start of trading in IPO of VAT Group AG

After start of the bookbuilding for the IPO of VAT Group AG on SIX Swiss Exchange on March 31, 2016, the final offer price was fixed on April 13, 2016 at CHF 45 per share, resulting in a total offer size of CHF 540 million (respectively CHF 621 million assuming full exercise of the over-allotment option) and an implied market capitalization of CHF 1,350 million. This makes the IPO of VAT the largest IPO in Europe year to date.

The shares of VAT started trading on SIX Swiss Exchange on April 14, 2016 at an opening price of CHF 52.

Delphi advised Simris Alg AB (publ) in connection with an IPO

Delphi has been legal advisor to Simris Alg AB (publ) when implementing a diversification of ownership through a public offering of new shares in connection with a listing on NASDAQ First North.

The offering, which resulted in oversubscription, provided the company with a capital contribution of approx 50 million SEK and more than 3,000 new shareholders. The first day of trading for the shares is expected to be 22 April 2016.

Cuatrecasas, Gonçalves Pereira advises Arcelormittal on subscribing and listing 1.26 billion new shares

Cuatrecasas, Gonçalves Pereira advised the steel manufacturing corporation ArcelorMittal, S.A., on non-statutory preferential subscription rights, and on listing the subscription rights of 1.26 billion new shares on the Spanish stock exchange, valued at €2.77 billion. The new share price was set at €2.20.

The offer was carried out through a passport system of issuing new shares on the Spanish stock exchange and required coordinating the transaction process in the company’s different jurisdictions: Amsterdam, Luxemburg, New York and Paris.

Gowling WLG has acted for longstanding client VinaCapital Vietnam Opportunity Fund Limited (VOF) in relation to its move from AIM to the premium listing segment of the UK Listing Authority's Official List and to trading on the London Stock Exchange's Main Market for listing securities.

VOF in parallel also migrated its place of incorporation from the Cayman Islands to Guernsey.

Davis Polk Advises Rumo Logística Operadora Multimodal S.A. on Its R$2.6 Billion Equity Offering

Davis Polk advised Rumo Logística Operadora Multimodal S.A. in connection with the offering by Rumo of 1,040,000,000 common shares for an aggregate amount of R$2.6 billion (approximately $740 million). The common shares trade on the São Paulo Stock Exchange. Common shares sold in the international offering were placed under Rule 144A and Regulation S.

Based in Brazil, Rumo is the largest intermodal logistics operator in Latin America, focusing on rail transportation, warehousing, operation of terminals and other logistics services.

Debevoise Advises Park Square Capital as it Raises €1.2 billion for Third Subordinated Debt Fund

Debevoise & Plimpton LLP has advised Park Square Capital Partners (“Park Square”), one of Europe’s leading independent credit providers, in the successful final close of Park Square Capital Partners III (“PSCP III” or the “Fund”) at €1.2 billion of investor commitments.

PSCP III closed significantly above its initial target of €1.0 billion, and is also substantially larger than its predecessor Park Square Capital Partners II, a 2010 vintage fund, which closed at €850.

ArcelorMittal $3 Billion Rights Offering

Davis Polk advised the joint global coordinators and joint bookrunners, together with a syndicate of underwriters, in connection with an SEC-registered rights offering by ArcelorMittal. The rights offering comprised public offerings in the United States, the Netherlands, France, Luxembourg and Spain. A total of 1,602,304,194 new shares were subscribed for in the rights offering, including through oversubscription, representing a subscription rate of 126.9%. The rights offering raised gross proceeds of approximately $3 billion.

DLA Piper has advised Yü Energy, a Nottingham-based independent supplier of gas and electricity, on its admission on the AIM market of the London Stock Exchange, and its successful fundraising of £7.5 million.

Yü Energy is an independent supplier of gas and electricity focused on servicing small and medium enterprises throughout the UK. Over the past few years it has experienced strong growth and the funds being raised will enable the company to accelerate their growth strategy and further expand their operations across the UK.

Macfarlanes advises IK Investment Partners on IK Small Cap fundraising

Macfarlanes has advised IK Investment Partners on the closing of its first IK Small Cap Fund.

The fund reached its hard cap with commitments of €250m from external limited partners, made up of both new and existing investors. The fund will target businesses of less than €100 million in value in core markets including the Benelux, DACH, France and Nordics.
