We have advised Grapeshot Limited, the London and New York based digital advertising technology (Ad Tech) company specializing in keyword contextual targeting, on its latest VC and angel investment round raising around US$ 8.5million.

Grapeshot’s technology helps build connections for brands and publishers as well as their technology partners, using their page crawling algorithm, and enables them to better target their advertising campaigns across multiple territories, languages and markets.

WFW advises Homunity start-up on first round fund raising

Watson Farley & Williams (“WFW”) has advised Homunity, a start-up which has developed a rental property crowdfunding platform, on its first round fund raising subscribed to by investment funds Petit Poucet Participation 3 and Clarisse SA (Aquarelle.com).

Formed in September 2014 by Quentin Romet and Arnaud de Vergie, joined in March 2015 by Charles Teytaut, Homunity helps investors build up a rental property portfolio or diversify their existing assets by combining return and added-value.

EQT announces tender offer for all publicly held shares of Kuoni Travel Holding Ltd

On February 2, 2016, EQT and Kuoni Group announced that they entered into a transaction agreement pursuant to which an affiliate of EQT will launch an all-cash tender offer for all publicly held registered shares of Kuoni Travel Holding Ltd. The tender offer will be made at CHF 370 per share, valuing the company at approx. CHF 1.5 bn. The offer is subject to customary conditions and is expected to close in Q2 or Q3 2016.

Bär & Karrer Advises EQT on Its Public Tender Offer for All Listed Shares in Kuoni Travel Holding Ltd

EQT VII, a fund of the private equity group EQT, acting through Kiwi Holding IV S.à r.l., announced an all-cash public tender offer for all listed shares in Kuoni Travel Holding Ltd, a leading service provider to the global travel industry, for a price of CHF 370 per share. Kuoni's Board of Directors unanimously recommends its shareholders to accept the offer.

Clifford Chance has advised China Railway Construction Corporation Limited (CRCC) on its US$500 million H-share convertible bond. This is the first H-share convertible since Sinopec's $1.5 billion deal in 2007, and the first since China's National Development and Reform Commission (NDRC) revised its set of debt issuance rules in September last year.

Shearman & Sterling represented the Province of Ontario (“Ontario”) in connection with Ontario’s public offering of US$2,500,000,000 of its 1.625% bonds due January 18, 2019.  Application has been made to the Luxembourg Stock Exchange (“LSE”) for the bonds to be admitted to trading on the Euro MTF Market of the LSE.

Ontario is the largest Canadian province by population and home to both the nation’s capital and most populous city.

Travers Smith partner Andrew Gillen and senior corporate associate Andrew Gofton-Salmond advised Canaccord Genuity and Shore Capital in their capacity as joint financial advisers to Market Tech Holdings Limited ("Market Tech") in connection with the cancellation of trading of Market Tech’s shares on AIM and admission of its shares to the Official List and to trading on the London Stock Exchange's main market for listed securities.
