NIBC’S IPO AND EURONEXT AMSTERDAM LISTING

Shearman & Sterling advised Citigroup, Deutsche Bank and Morgan Stanley as joint global coordinators in connection with the initial public offering and listing on Euronext Amsterdam of NIBC Holding N.V.

The offering comprised a secondary sale by NIBC’s largest shareholders, entities advised by the private investment firm J.C. Flowers & Co., at an offer price of €8.75, implying a market capitalization of over €1.2 billion for NIBC.

ELKEM’S INITIAL PUBLIC OFFERING

Shearman & Sterling advised ABG Sundal Collier and Morgan Stanley, as joint global coordinators and joint bookrunners, and Carnegie, Citigroup and Nordea, as joint bookrunners, in connection with the initial public offering (IPO) and listing on Oslo Børs of Elkem ASA. The IPO consisted of a primary offering of shares by Elkem ASA and the sale of a minority stake by the selling shareholder, Bluestar Elkem International Co., Ltd. S.A., which will continue to remain a significant shareholder.

Freshfields advises on China Zheshang Bank’s US$464m H-share placing in Hong Kong

Freshfields Bruckhaus Deringer (‘Freshfields’) has advised China Zheshang Bank Co., Ltd. (‘China Zheshang Bank’) on its placing of 759m new H-shares on the Hong Kong Stock Exchange. The transaction closed today (29th March 2018) and raised approximately US$464m.

The placing shares represent around 4.05 per cent of the total issued share capital of China Zheshang Bank as enlarged by the allotment and issue of the placing shares. China Zheshang Bank plans to use the proceeds of the placement to replenish the core tier-one capital.

Dentons advises BNP Paribas and a syndicate of six other international banks on a US$195 million pre-export secured revolving facility to Ferrexpo

Kyiv—Dentons advised BNP Paribas and a syndicate of six other international banks on a US$195,000,000 three-year pre-export secured revolving facility to Ferrexpo. The financing will be used by Ferrexpo for general corporate purposes.

Dentons’ cross-border team from offices was led by Partners Evgenia Laurson and Natalia Selyakova, and included Partner Udayan Mukherjee, Counsels Nadiya Shylienkova and Dennis Montgomery, and Associates Olga Sokolova and Artem Lukyanov.

Clifford Chance advises selling shareholder J.C. Flowers & Co on IPO and listing of NIBC

Clifford Chance acted for US private equity investor J.C. Flowers & Co as selling shareholder in the IPO and listing on Euronext Amsterdam of ordinary shares in the capital of NIBC Holding N.V. ("NIBC"), a mid-sized Dutch bank with a focused mid-market corporate and retail product offering. NIBC operates in the Northwest European markets, with a focus on the Netherlands and Germany.

Freshfields advises Michelin on the recommended cash acquisition of Fenner plc

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) is advising Compagnie Générale des Établissements Michelin SCA, a global leader in tire manufacturing, on its recommended all-cash offer for London-listed Fenner plc (‘Fenner’).

Fenner is a world leader in conveyor belts and reinforced polymer technology based in Hessle, England. The acquisition values Fenner at approximately £1.3 billion and is conditional on the receipt of shareholder, regulatory and court approvals.  It is expected to close in the second quarter of 2018.

Norton Rose Fulbright advises Berenberg on international placement of shares of RIB Software

Global law firm Norton Rose Fulbright has advised Berenberg on the successful capital increase of RIB Software SE by way of issuance of about 4.7 million new shares from authorised capital. The New Shares were placed with domestic and foreign institutional investors by means of accelerated bookbuilding, hereby excluding subscription rights. The total placement volume amounts to €131 million.

Baker McKenzie advises Pareto Securities in connection with the IPO of Green Landscaping

Today, on 23 March 2018, Green Landscaping was listed on Nasdaq First North. The price per share in the IPO was SEK 21, corresponding to a total market value of approximately SEK 745 million.

FSN Capital III is the largest shareholder and will hold approximately 18.6 percent of the shares in Green Landscaping immediately after the IPO. Other shareholders include both Swedish and international institutional investors, there among the Salén family, as well as investors among the general public in Sweden.

Simpson Thacher Represents International Joint Lead Managers in Follow-On Offering of Daiwa House REIT

The Firm recently represented the international joint lead managers in connection with a follow-on offering of Daiwa House REIT Investment Corporation, which included an international offering to institutional investors pursuant to Rule 144A and Regulation S. The offering raised approximately ¥52.7 billion (approximately US$502 million) for the issuer, which will be used with bank financing to fund the acquisition of additional logistics, retail and hotel properties. Morgan Stanley, Daiwa Capital Markets Europe and Nomura acted as international joint lead managers for the offering.
