MightyHive Agrees to Sell to S4 Capital

Cooley advised MightyHive, a recognized leader in programmatic digital media buying, on its agreement to sell to S4 Capital. Lawyers Eric Schwartzman and Kassendra Galindo led the Cooley team advising MightyHive on the agreement.

In a statement, MightyHive said “the merger will enable [it] to meet rapidly growing demand from clients” and expand its opportunities.

Dentons supports Equinor in its expansion into the offshore wind sector in Poland

Dentons advised the Equinor Group (formerly Statoil), the global renewable energy giant, on the conclusion of a preliminary agreement for the purchase from Polenergia SA of a 50 percent stake in a company developing the Baltyk I offshore wind farm with a target capacity of up to 1,560 MW, more than 80 km off the port town of Leba.

Watson Farley & Williams (“WFW”) has advised Amundi Transition Energétique (“ATE”) on the negotiation and signing of its partnership agreement with Dalkia to support the development of renewable heating networks in France.

This agreement will offer local authorities innovative and sustainable solutions by combining Dalkia’s know-how, and an alternative financial structuring based on Amundi’s expertise in infrastructure investment.

Gilbert + Tobin has advised Transport for NSW (TfNSW) on the engagement of Network Rail Consulting as System Integrator in the first step towards delivering the Government’s Digital Systems Program.

In June 2018 the NSW Government announced an $880 million investment in technology improvements to modernise the Sydney Trains network, a key component of which is the Digital Systems Program (the Program).

A joint venture agreement to deliver an interconnector between the UK and Denmark

Eversheds Sutherland has advised National Grid and Energinet (the Danish TSO) on the drafting and negotiation of a Joint Ownership and Operating Agreement to construct and operate a 760km long, high voltage direct current electricity interconnector between Bicker Fen in Lincolnshire, Great Britain and Revsing in southern Jutland, Denmark.

The agreement is a significant milestone for the project, as it sets out detailed governance arrangements for delivery and operation of the link.

Slaughter and May is advising GlaxoSmithKline on the creation of a world-leading Consumer Healthcare joint venture with Pfizer

Slaughter and May is advising GlaxoSmithKline plc (“GSK”) on its agreement with Pfizer Inc. to combine their consumer health businesses into a new world-leading joint venture with combined sales of approximately £9.8 billion.  GSK will have a majority controlling interest of 68% and Pfizer will have an equity interest of 32% in the joint venture.

Slaughter and May is supporting GSK’s in-house legal team, led by James Ford, Sarah Clements, Charles Atkinson and Sean Roberts.  Kirkland & Ellis advised GSK on US aspects of the transaction.
