WFW advise Global Risk Partners on Cavendish Munro investment

International law firm Watson Farley & Williams (“WFW”) advised independent insurance intermediary Global Risk Partners Limited (”GRP”) on its investment in specialist retail broker Cavendish Munro Professional Risks Limited (“Cavendish Munro”).

London-based Cavendish Munro is a Professional Indemnity (PI) specialist focused primarily on the professional services and engineering sectors.  Managing Director Paul Byrne will continue to lead the firm following the transaction and is a co-investor in the business going forward.

Osborne Clarke advises Growth Capital Partners on €23.3m investment in John Henry Group

International legal practice Osborne Clarke has advised Growth Capital Partners (GCP), an independent private equity company which invests in growing UK SMEs, on its €23.3m investment in the John Henry Group.

Established in Cambridgeshire in 1985, John Henry Group provides innovative, turn-key solutions to telecoms network operators across the UK. GCP’s investment and partnership with management of the John Henry Group will support the continued strong growth of the business.

Spark Infrastructure progresses DUET block trades

Baker & McKenzie acted for JP Morgan as underwriter of the sale of Cheung Kong Infrastructure's (CKI) 6.7% stake in Spark Infrastructure for $252.4 million. This follows acting for Insight Capital Advisers as joint lead manager in connection with the complex unwind and sale of of Spark's 8% economic interests in DUET Group for $305 million.

Lead partner on the transactions, Craig Andrade stated: "there is a lot of competitive block trade activity in the market and we're delighted to have been involved in several recent processes assisting our underwiter clients".

Macfarlanes advises Elian's management on its sale to Intertrust Group B.V.

Macfarlanes has advised the management team of Elian (formerly Ogier Fiduciary Services) on the sale of the company by Electra Partners to Intertrust Group B.V. for £435m, including on the reinvestment of part of the management team's proceeds into shares of Intertrust N.V. (the Amsterdam-listed parent company of Intertrust Group B.V.). The transaction is subject to, inter alia, Intertrust N.V. shareholder and customary regulatory approvals and is due to complete in the third or fourth quarter of 2016.

Upon kickoff, the start-up Caroobi – a portal for online placement of motor mechanics – receives millions in investments.

Caroobi communicates the concept of online service provider placement to the auto repair sector. Customers can use the portal to book various auto-related services such as auto body paint jobs or inspections. Cherry Ventures and DN Capital are among the investors. The firm was founded in September 2015 and already employs 35 people.

CMS advises Management Team and incoming Chairman on sale of Radley

CMS has advised the existing management team of Radley on the sale of the business to, and their reinvestment alongside, private equity house Bregal Freshstream. CMS also advised the incoming Chairman, Don McCarthy, who is a veteran retailer with over 40 years’ experience in investing, operating and controlling many high street names. He has previously held the position of Executive Chairman at House of Fraser and Chairman of Aurum Holdings which includes Watches of Switzerland, Mappin & Webb and Goldsmiths.

Osborne Clarke advises Resin.io on its $9m funding

International legal practice Osborne Clarke has advised Resin.io, the provider of a modern DevOps management platform for connected devices, on its $9m funding.

Resin.io, founded in 2013, secured its funding from DFJ, GE Ventures, Ericsson and Aspect Ventures. The new round of funding will be used to expand the company’s product footprint, grow its open source community, and broaden its global reach through new strategic partnerships and channels.

Nabarro advises on the launch of online real estate investment platform Intro Crowd

Nabarro has advised crowdfunding client, Intro Crowd Ltd, on the establishment of its online real estate investment platform. Intro Crowd allows individuals to invest in strategic 'greenfield' land through its online platform.

Land crowdfunding involves multiple investors buying land together. Investors receive returns following movement in land prices, typically following the grant of planning permission. Intro Crowd’s proposition offers individuals the opportunity to invest from as little as £1,500.

Eversheds advised the Munich-based media company m4e AG in the purchase of 45 percent of the international rights to the children’s TV series and brand “Mia and me”. The rights were acquired from Rainbow S.r.l., the previous co-producer and one of the leading media companies in the children’s entertainment sector. In the course of the purchase Hahn Film AG will take on the remaining 5 percent of the rights from Rainbow S.r.l.’s stock.
