KKR to Sell Stake in Scout24

Simpson Thacher is representing KKR & Co. L.P. in the announced sale of its 49% stake in Scout24 Schweiz AG (“Scout24”) to Swiss Mobiliar. Closing of the transaction is subject to regulatory approvals and other necessary closing procedures.

Scout24 is a network of online marketplaces for motor vehicles, real estate and general classifieds. Swiss Mobiliar is Switzerland’s oldest private insurance company.

Kirkland & Ellis Advised Garena Interactive Holding Limited on Series D Funding Round

Kirkland & Ellis represented Garena Interactive Holding Limited, Greater Southeast Asia’s largest internet and mobile platform company, in connection with its Series D funding round raising US$170 million. The funding round was led by Khazanah Nasional Berhad, the strategic investment fund of the Government of Malaysia. The transaction was announced on March 31, 2016. Anvia Plc : Share swap in which Finda Oy will become a shareholder of Anvia Telecom Ltd and Anvia Plc a shareholder of Finda Oy.

We acted as the advisor to Anvia Plc when it agreed with Finda Oy on a transaction through which Finda Oy will become a shareholder of Anvia Plc’s subsidiary Anvia Telecom Ltd with a 42% holding. In exchange, Finda Oy will direct a share issue to Anvia Plc. After the transaction has been completed, Anvia Plc will own 13% of Finda. The value of the transaction is approximately EUR 50 million. The completion of the transaction is subject to the approval of the Finnish Competition and Consumer Authority and is estimated to take place during the second quarter of 2016.

thyssenkrupp to acquire Vale's minority interest in thyssenkrupp CSA

thyssenkrupp is streamlining the ownership structure of the Brazilian steel mill thyssenkrupp CSA (CSA) and purchasing all the shares currently held by Vale S.A. (26.87%). thyssenkrupp will thus become the sole owner of CSA. In connection with the acquisition, existing shareholder agreements and other operating contracts between Vale and CSA will be renegotiated or cancelled. The completion of this transaction is subject to approval by the thyssenkrupp supervisory board and subject to fulfillment of conditions precedent and approvals.

Dentons advises the European Bank for Reconstruction and Development on its $100 million equity investment

London—Dentons has advised long-standing client the European Bank for Reconstruction and Development (EBRD) on a US$100 million equity investment into Egypt’s agribusiness sector.

EBRD has invested into United Sugar Company of Egypt S.A.E. (USCE), a subsidiary of Savola Group, which is one of the largest food groups in the Middle East and North Africa region. The investment will involve EBRD converting an existing US$50 million loan to USCE into equity and providing an additional US$50 million in share capital.

Shoosmiths advises NatWest on investment in Edinburgh residential project

Law firm Shoosmiths has advised NatWest Scotland on their investment to support a large residential housing project in Portobello, Edinburgh, led by developers, Kerwick Ltd.

The existing office block at 275 Portobello High Street is under full construction to accommodate 22 apartments and four penthouses. This high spec development is expected to appeal to second home investors, those looking to downsize, professional couples and landlords given its prominent position in the coastal town of Portobello.

KWM advises a syndicate of Chinese lenders to fund investment in Australian resources sector

King & Wood Mallesons advised a syndicate of Chinese lenders to provide funding to support Yancoal Australia Ltd’s operations and investment in the Australian resources sector.

Yancoal will raise US$950 million in new debt funding through an issue of nine-year secured debt bonds to a consortium of lenders including Industrial Bank Co. Ltd, BOCI Financial Products Limited and United NSW Energy Limited.

Olswang advises on Series A financing round of EUR 14 m for Topas Therapeutics GmbH

International law firm Olswang has advised existing client Epidarex Capital as lead investor in the Series A financing round of Topas Therapeutics GmbH (“Topas”). Topas is the first spin out from Evotec AG and aims to build a unique pipeline of clinical-stage development projects to treat autoimmune diseases. The round was led by Epidarex Capital and includes EMBL Ventures, Gimv and Evotec. Topas will use the proceeds to expand and accelerate its proprietary tolerance induction platform and to progress with its product development.

Ashurst advises APG Asset Management on formation of US$275m club real estate fund

International law firm Ashurst advised APG Asset Management, the Dutch pension fund manager, as lead investor on the formation of a Singapore incorporated private investment fund, managed by Godrej Properties.

Godrej Fund Management (GFM), the newly-created real estate fund management arm of Godrej Properties, raised US$275 million from a small club of investors for its new residential investment platform.
