Debevoise Advises Morgan Stanley Investment Management in Raising $3.6 Billion for its Second Global Infrastructure Fund

Debevoise & Plimpton LLP has advised the Morgan Stanley Infrastructure Unit of Morgan Stanley Investment Management in raising $3.6 billion for North Haven Infrastructure Partners II (NHIP II), the successor fund to North Haven Infrastructure Partners (NHIP).

Among the investors in NHIP II are some of the world’s largest and most sophisticated institutional infrastructure investors, including domestic and international public and private pension funds and insurance companies.

Shearman & Sterling Advises Morgan Stanley on Geveran Trading Company's Sale of Shares in Marine Harvest

Shearman & Sterling advised Morgan Stanley as sole bookrunner in connection with the sale by Geveran Trading Company Ltd of 37.8 million shares in Marine Harvest ASA conducted by way of an accelerated bookbuild offering. 

Following the offering, Geveran Trading has retained 79.6 million shares in Marine Harvest, which represents approximately 17.7% of the share capital. The sale proceeds from the placement amounted to 4.42 billion Norwegian Krona (approximately $510 million). 

NorthEdge Capital Closes Private Equity Fund Focused on the North of England

London, UK - Paul Hastings LLP has advised NorthEdge Capital LLP, on the launch of its second private equity fund (“Fund II”), focused on the North of England. The £300 million Fund II will pursue equity investments to support management buy-outs, development capital and equity release strategies.

NorthEdge targets investment in businesses with an enterprise value of £10 million to £100 million, although typical transactions will range from £20 million to £75 million in value.

Herbert Smith Freehills advises Mitsui on Norwegian acquisition

Herbert Smith Freehills has advised longstanding client Mitsui & Co., Ltd. on its acquisition of a 25% interest in Norway's Hexagon Composites ASA, listed on the Oslo Stock Exchange, for approximately NOK833 million (US$96 million).

Hexagon is a market leader in the production of lightweight carbon fibre composite pressure cylinders for gas storage and transportation.

A cross-office Herbert Smith Freehills team, led by the firm's Tokyo office, advised Mitsui on all aspects of the transaction.

Ince & Co advises departing shareholders on private equity-backed Lorega MBO

Ince & Co has advised the departing shareholders on the sale of their shares in Lorega Limited to a newly incorporated company owned by Lorega’s management team and the management team’s investors, Alcuin Capital Partners LLP. The value of the MBO was undisclosed.

Lorega Limited is a leading insurance intermediary who provides loss recovery insurance, giving access to claims negotiators who work with brokers to settle insurance claims.

KWM advises CHAMP on strategic investment in Pepperstone

King & Wood Mallesons (KWM) has advised funds managed by CHAMP Private Equity on their significant strategic investment in Melbourne-based global forex and CFD broker, Pepperstone.

Pepperstone was founded in 2010 by Owen Kerr and Joe Davenport and since then has grown into one of the top 10 FX brokers globally. It offers platforms for both retail and institutional clients and has offices in Melbourne, Shanghai and Dallas.

Clifford Chance advises SDIC Power on acquisition of 40% stake in Indonesian coal fired steam power station

Clifford Chance has advised SDIC Power Holdings Limited, which is listed on Shanghai Stock Exchange and is a subsidiary of State Development and Investment Corporation, on its acquisition of 40% of the equity interest from Genting Power in the Banten Project, a 660MW coal fired steam power station located in Indonesia. This is SDIC Power's first outbound investment.
