Charles Russell Speechlys advises India Capital Growth Fund on its move to a premium listing on the Main Market

Charles Russell Speechlys has advised long-standing client India Capital Growth Fund Limited on its move from AIM to a premium listing on the Main Market. Stockdale Securities is the sponsor.

Admission of the Company’s ordinary shares to the premium listing segment of the Official List and to trading on the Main Market of the London Stock Exchange and delisting from AIM took place on 24 January 2018.

Proskauer Advises DN Capital on €200 Million Venture Capital Fund

Proskauer represented DN Capital on closing its fourth venture capital fund, DN Capital – Global Venture Capital IV LP, with €200 million in commitments.

The fund is dedicated to investing in seed-stage and series A-level startups in Europe, with an emphasis on Germany and the UK as well as selective investments in France and the Nordics. Remaining investments will be in the U.S., primarily in Silicon Valley.

Simmons & Simmons JWS advises NSI Ventures and Aviva Ventures on investment into health-tech startup Biofourmis

Simmons & Simmons JWS has advised NSI Ventures and Aviva Ventures on a US$5m Series A investment into Biofourmis Pte. Ltd., a health-tech company based in Singapore.

Biofourmis has developed a sophisticated health analytics platform which utilises artificial intelligence in analysing data to predict a medical patient’s health. If the patient’s health is deteriorating, the platform alerts medical professionals to intervene before a critical event.

Kirkland counsels Comvest Credit Partners in closing its Fourth Direct Lending Fund

Kirkland & Ellis LLP advised Comvest Credit Partners on its final close of Comvest Capital IV, L.P., and affiliated funds (the Fund) with total equity commitments of $836 million, exceeding the initial fundraising target of $650 million. Together with fund-level leverage, total available capital is expected to exceed $1.2 billion.

DUBAI - Allen & Overy has advised Varkey Group Limited (VGL) on the sale of a minority stake in GEMS Education (GEMS) to Khazanah Nasional Berhad (Khazanah), a Malaysian government-owned investment fund.

GEMS is the world’s largest private operator of K-12 schools. VGL, the umbrella organisation, operates in the education, healthcare and construction sectors. As part of the transaction, VGL remains the majority shareholder of GEMS.

Slaughter and May advised PTT Exploration and Production Public Company Limited (PTTEP) and PTTEPI International Limited (PTTEPI) in relation to the conditional acquisition of a 22.2222 per cent. stake in the Bongkot Project from Shell Integrated Gas Thailand Pte Limited and Thai Energy Company Limited (both Shell subsidiaries).  The transaction value, before tax, is approximately USD750 million.  The Bongkot Project, consisting of Blocks B15, B16, B17 and G12/48, is a natural gas field in the Gulf of Thailand operated by PTTEP.

DLA Piper has advised Finnish private equity investor MB Funds on its investment in Pohjolan Energia Oy, the leading small-scale solar energy system provider in Finland.

MB Funds becomes partner and majority shareholder of Pohjolan Energia Oy to support the company’s growth and international expansion. The current owners continue in key management roles and as significant shareholders in the company.

This preferred equity financing raised approximately US$100 million.
