Clifford Chance advises J.P. Morgan Asset Management and Indigo Invest on the acquisition of the Uniper HQ building in Düsseldorf

Clifford Chance has advised Indigo Invest and a fund managed by J.P. Morgan Asset Management on a joint venture with regard to the acquisition of the office building located at E.ON-Platz 1 in Düsseldorf. The property is being sold by the energy services company Uniper, which will continue to use the building as its headquarters until moving out during the course of 2018.

Eversheds Sutherland advises MRC on double transfer deal

Eversheds Sutherland has advised the Medical Research Council (MRC) on the transfers of the MRC Prion Unit to University College London and the MRC Cognition and Brain Sciences Unit to the University of Cambridge.

The transfers are part of the MRC’s University Unit programme which creates a strategic partnership between the MRC and Universities carrying on MRC funded research. The partnerships are founded on creating new opportunities for enhancing science and better value for money.

In this context, the Banking business unit was split-off from Commerz Finanz GmbH to Commerzbank AG and all shares in Commerz Finanz GmbH that were still held by Commerzbank AG have been transferred to BNP Paribas Personal Finance S.A.

Osborne Clarke advises Biotecnol on Cancer Research UK partnership to trial new immunotherapy

Osborne Clarke has advised Biotecnol Limited on a collaboration agreement with Cancer Research UK (CRUK) for early phase experimental immune-oncology treatment for patients with advanced tumours, including cancers.

Under the agreement, Biotecnol and CRUK’s Centre for Drug Development will collaborate to take forward the company’s promising drug, Tb535H, through a Biotecnol-sponsored first-in-man Phase I clinical trial, using Cancer Research UK’s drug development expertise in return for shareholdings in Biotecnol.

The global power leader Cummins Inc. announced that it successfully completed the formation of a joint venture with the power management company Eaton, concerning the design, manufacture, sale and support of automated transmissions for heavy-duty and medium-duty commercial vehicles (named Eaton Cummins Automated Transmission Technologies). As part of the transaction, the Swiss company Eaton Cummins Automated Transmission Technologies Sàrl was formed earlier this year and Cummins acquired a 50% participation on 31 July 2017.

Bulgaria: Schoenherr advises Bulgarian Eagle airline on AOC Certification

Schoenherr advised Bulgarian Eagle airline, the ACMI (Aircraft, Crew, Maintenance and Insurance) carrier, recently founded by the Germania Group, on its expansion into Bulgaria. Schoenherr also supported Bulgarian Eagle in obtaining the official air operator certificate ("AOC") from the Bulgarian authorities, which allows the airline to use aircraft for commercial purposes. After all the necessary licenses were issued and a demonstration flight was successfully completed, the Bulgarian aviation authority cleared the new airline for take-off.
