Herbert Smith Freehills advises Coles on credit card joint venture with GE

Herbert Smith Freehills has advised Coles on its joint venture with GE Capital Australia to manufacture and sell credit cards and personal loans to customers of Coles’ food, fuel and liquor businesses.

The transaction will expand Coles’ interests in financial services from being a distributor of branded cards to owning 50% of a new manufacturing company. Both shareholders will provide services to the joint venture.

Shearman & Sterling Advises on Sasol and INEOS Joint Venture in Connection with Sasol’s North American Market Expansion

Shearman & Sterling advised Sasol Limited (“Sasol”) and its affiliates in connection with the entry by Sasol Chemicals North America LLC into a 50/50 joint venture with INEOS Olefins & Polymers USA to construct, finance, own and operate a high-density polyethylene (HDPE) plant in LaPorte, Texas. The firm also advised Sasol on the joint venture’s approximately $420 million Term Loan B financing with Barclays as the lead arranger and bookrunner, with Citigroup also a bookrunner, the proceeds of which will be applied to pay a portion of construction costs.

Weil Advises Sanofi in Global Licensing Agreement for Afrezza

Weil is advising global pharmaceutical and healthcare firm Sanofi on its worldwide exclusive licensing agreement with MannKind Corporation to develop and commercialize Afrezza (insulin human) Inhalation Powder.

Afrezza is a new rapid-acting inhaled insulin therapy indicated to improve glycemic control in adult patients with type 1 and type 2 diabetes. The companies plan to launch Afrezza in the United States in the first quarter of 2015.

Jennmar and DSI form joint venture RocBolt Resins

Jones Day advised Jennmar in the formation of RocBolt Resins Pty Ltd., an Australian joint venture with Jennmar holding a 51 percent stake and Dywidag Systems International (DSI) holding a 49 percent stake, to manufacture both J-LOK Resin brands and Fasloc Resin brands to be sold by Jennmar and DSI respectively.

The Firm represented Visant Corporation, a portfolio company of Kohlberg Kravis Roberts & Co. L.P. and DLJ Merchant Banking Partners III, L.P., in entering into an agreement with an affiliate of Ileos Group S.A.S, which is owned by funds managed by Oaktree Capital Management, L.P., to combine their respective wholly owned subsidiaries, Arcade Marketing and Bioplan, in a new strategic venture.  The transaction is subject to customary closing conditions and regulatory review and is expected to close by the beginning of the fourth quarter of 2014.

Ashurst has advised Mitsubishi Corporation through its wholly-owned subsidiary Petro Diamond Australia Pty Ltd (PDA), on a joint venture and operating agreement of a diesel import terminal at Port Bonython in South Australia.

Mitsubishi Corporation announced it will construct, through PDA, a diesel import terminal at Port Bonython in South Australia. The terminal will be the foundation for Mitsubishi to launch a diesel fuel supply, sales and distribution business in Australia.
