Kirkland Represents The Carlyle Group and Service King Collision Repair Centers in Partnership with Blackstone

Kirkland & Ellis LLP represented global alternative asset manager The Carlyle Group (NASDAQ: CG) and Service King Collision Repair Centers, which today announced a partnership with Blackstone (NYSE: BX) to recapitalize one of the largest independent U.S. chains of automobile body repair centers. The Carlyle Group, together with its co-investors and the management and employees of Service King, will retain a significant minority stake in the company. Terms of the transaction, which is expected to close during the third quarter, were not disclosed.

Rolls-Royce - establishment of a joint venture with Hispano-Suiza

Slaughter and May is advising Rolls-Royce on the establishment of a long-term 50:50 joint venture with Hispano-Suiza, a member of the Safran group.

The joint venture will utilise the complementary resources and expertise of its two parent companies to develop world-leading accessory drive train transmission systems for Rolls-Royce civil aero engines. The new business, which will have activities in France, the UK and Germany, will address the entire product lifecycle of Rolls-Royce engines.

Dentons advised Pfizer in the context of its strategic global collaboration with Cellectis in the fight against cancer. Dentons advised Pfizer, the global leading pharmaceutical company, in the context of its strategic global collaboration to develop anti-cancer immunotherapy products using technology developed by Cellectis.

The two companies will work together on preclinical studies, and Pfizer will be responsible for the development and eventual commercialization of the treatments which will be developed.

Latham Advises Synairgen on Licensing Agreement with AstraZeneca

Synairgen plc (LSE: SNG) has announced a global licence agreement with AstraZeneca for SNG001, a novel, inhaled interferon beta (IFN-beta) in clinical development for treating respiratory tract viral infections in patients with severe asthma and potentially other pulmonary diseases. SNG001 supports the immune system by correcting a deficiency which makes patients vulnerable to respiratory tract viral infections.  The deal could represent a key development in the treatment of severe asthma.

Premier Foods - stand-alone joint venture to manufacture powdered beverages and desserts

Slaughter and May is advising Premier Foods plc (Premier Foods) on a conditional agreement with Specialty Powders Holdings Limited (Specialty Powders) to manufacture and pack powdered beverages and desserts at Premier Foods' Knighton facility in Staffordshire. The joint venture will trade under the name of Knighton Foods.

Hogan Lovells Advises MOL Group on Participation in Strategic North Sea JV

Hogan Lovells has advised MOL Group on its participation in a joint venture to develop the North Sea Catcher oil field, field development approval for which was announced on 12 June 2014.

The US$2.25bn Catcher project, operated by Premier Oil, will consist of 14 oil-producing subsea wells and eight further water-injecting wells designed to boost oil production to a peak of 50,000 barrels of oil a day when it starts in 2017; and is expected to boost UK oil output by up to six per cent.

Baker & McKenzie Acts for APG on its Acquisition of a 20% Stake and Strategic Joint Venture with e-Shang

("APG"), the Dutch pension fund asset manager, on its commitment of up to US$650 million for an approximately 20% stake and the creation of a strategic joint venture with e-Shang, to develop and own institutional-grade, modern logistics real estate assets across China. This transaction represents one of the largest commitments to the Chinese logistics real estate sector.
