Eversheds advises Rockfire Capital on the acquisition of Swindon Solar Farm Limited

Eversheds has advised Rockfire Capital (“Rockfire”), a specialist investment management company, on the acquisition of Swindon Solar Farm Limited, owner of one of the UK’s largest operational solar PV projects, from the WELink Energy (U.K.) Ltd group of companies (“WELink”).

The Eversheds team was led by partner Stephen Hill with support from Matthew Hussey (Corporate), Amelia Gibbons (Property) and Sacha Bacco (Energy construction).

Eversheds acted as legal advisor for Irish Fintrax Group as the company acquired the shares of Finnish e-Taxfree Nordic Ltd.

Established in 2013, e-Taxfree Nordic is a Finnish company which offers the market’s most advanced digital solutions for making tax-free purchases. The service enables paperless processing and obtaining of VAT refunds. As a result of the acquisition, e-Taxfree Nordic’s electronic tax refund service will expand to other countries.

Osborne Clarke advises on five recruitment sector deals

International legal practice Osborne Clarke has advised Trust Tech, Inc., one of Japan's largest listed recruitment companies, on the acquisition of the recruitment and training solutions provider, MTrec Limited. The £17m deal completed at the end of August. The acquisition marks Trust Tech’s first significant acquisition outside of Japan, and will help the company establish a presence in the UK and European markets.

GOWLING WLG ADVISES ON CHARME CAPITAL PARTNERS' ACQUISITION OF JD CLASSICS

The Gowling WLG corporate team has advised on the sale of the majority stake in JD Classics to the pan-European mid-market private equity firm Charme III.

The firm advised Derek Hood, founder of premium car restoration business JD Classics, on the transaction. Derek will retain a significant stake and will partner with Charme and the co-investors.

Taylor Wessing advises Fabrinet on acquisition of Exception EMS

International law firm Taylor Wessing has advised new client Fabrinet on its acquisition of Exception EMS, a UK-based contract manufacturer of printed circuit board assemblies (PCBA’s) for approximately $13.5 million. Fabrinet provides optical packaging and precision optical, electro-mechanical and electronic manufacturing services to original equipment manufacturers (OEMs) of complex products, such as optical communication components, modules and sub-systems, industrial lasers, medical devices and sensors.

CLIFFORD CHANCE ADVISING INFORMA ON A PROPOSED $1.558 BILLION ACQUISITION OF PENTON BUSINESS MEDIA HOLDINGS

Clifford Chance today announced that a cross-border team of lawyers in New York and London is advising Informa PLC on its acquisition of Penton Business Media Holdings from MidOcean Partners and Wasserstein & Co.

Under terms of the agreement, Informa will acquire Penton for $1.558 billion (£1.18 billion), subject to customary adjustments, with the acquisition to be funded through a combination of both debt and equity, including a fully underwritten £715 million rights issue. The transaction is expected to close before the end of 2016.
