Heineken acquires majority stake in leading Slovenian brewer Pivovarna Lasko

De Brauw Blackstone Westbroek advises Heineken on its acquisition of a majority stake in Pivovarna Lasko. The acquisition follows a competitive auction by a consortium of shareholders. Pivovarna Lasko is Slovenia’s leading brewer. This acquisition strengthens Heineken’s position within the region and will bring two complementary strong local brands into Heineken’s portfolio.

Completion of the acquisition is subject to customary regulatory approvals and will be followed by a mandatory takeover offer extended to all remaining shareholders.

Acquisition in the ridesharing-sector: French BlaBlaCar, the world's largest long-distance ridesharing platform, has acquired carpooling.com GmbH, the German operator of Mitfahrgelegenheit.de and Mitfahrzentrale.de. Sellers were inter alia Daimler AG, the Venture Capital firm Earlybird as well as private shareholders.

Through this acquisition, BlaBlaCar has become the leading provider of ridesharing services in Germany and Europe. Mitfahrgelegenheit.de and Mitfahrzentrale.de are internet portals of Munich based carpooling.com GmbH.

King & Wood Mallesons advises Affinity Equity Partners on acquisition of Nine Live

King & Wood Mallesons (KWM) has advised Affinity Equity Partners on its $640 million acquisition of Nine Live from Nine Entertainment Co.

The Nine Live business covers Australia and New Zealand and includes live events ticketing (Ticketek), events promotion, data & analytics and software licensing.

KWM acted as lead counsel for Affinity Equity Partners advising on all Australian legal aspects of the purchase including all M&A aspects and the acquisition financing. Buddle Findlay acted as New Zealand legal counsel.

Taylor Wessing advises WHEB Partners on leveraged buy-out of Dolan and European Carbon Fiber

WHEB Partners’ Growth Fund 2 and Dr. Jan Verdenhalven acquired each 100% of the shares in Dolan GmbH (Dolan), Kelheim and European Carbon Fiber GmbH (ECF), Kelheim from Lenzing AG, Lenzing/Austria and Kelheim Fibers GmbH, Kelheim. Dolan and ECF share production facilities in Kelheim in Southern Germany.

Linklaters advises Brait on £1.3bn acquisition of Virgin Active

Linklaters has advised Brait, the South African listed private equity group, on its acquisition of an 80% stake in Virgin Active, the leading international health club operator, from CVC and Virgin.  The deal values Virgin Active at £1.3bn.

Virgin Group will retain a 20% stake, excluding management.  The existing management team will be retained and will be reinvesting alongside Brait.  The implementation of the deal is subject to approval by the South African and Namibian competition authorities.

Olswang advised India’s ecommerce marketplace Snapdeal on its acquisition of FreeCharge

International technology, media and telecoms law firm Olswang advised leading Indian ecommerce marketplace Snapdeal on its acquisition of FreeCharge, India's largest online mobile pre-paid recharge and bill payment platform. The deal, which was announced on 8 April, is considered India's largest cross-border consumer internet deal to date and likely makes Snapdeal the country's largest mobile commerce platform.

Delphi has been legal advisor to the shareholders of Inet AB in connection with Creades AB (publ)’s acquisition of the majority ownership.

Inet sells computers, computer components and adjacent accessories in Sweden through its in-house developed online store and its physical stores located in Gothenburg, Malmö, Stockholm and Uddevalla. The head office is located in Sisjön in Gothenburg.

Delphi's team mainly consisted of David Aversten (Partner), Olof Reinholdsson (Senior Associate) and Josefin Högsander (Associate).

Temenos acquires Multifonds to broaden its portfolio of mission-critical banking software

Temenos Group AG, the market leading provider of mission-critical software for financial institutions globally acquired IGEFI Group s.à.r.l. (trading as Multifonds), a Summit Partners portfolio company. The consideration for the acquisition is EUR 235 million to be funded through cash and debt.

Homburger advised Temenos Group AG in Swiss legal aspects of the acquisition and, in particular, its financing.

Vinge has advised Axcel and Netel in connection with Netel's acquisition of Telog Oy, where the current sellers retain a certain stake in the company. Telog Oy and its subsidiaries carry out consulting, construction, installation and maintenance within the sectors fixed telecom, mobile telecom and power grid infrastructure. Through this acquisition, Netel expands its business within these sectors in Finland and Estonia.
