Mills & Reeve advises on £34m acquisition for Urban&Civic

We have advised Urban&Civic on its acquisition of Catesby Property Group. Urban&Civic has acquired the Catesby Property Group, a strategic land company specialising in commercial property development and residential land promotion. Catesby has interests in land holdings comprising 5,300 units across 21 sites in areas of high housebuilder demand in the Home Counties and southern parts of the Midlands.

Reed Smith advises Motif Bio plc on its AIM listing and expansion

Global law firm Reed Smith has advised Motif Bio plc on its admission to AIM, the merger of its subsidiary with U.S. pharmaceutical company Motif BioSciences, Inc. and its subsequent acquisition of Nuprim, Inc.

Motif Bio plc and its subsidiary Motif BioSciences, Inc. are clinical stage biopharmaceutical companies based in London and New York. The deal grants the Motif Group exclusive worldwide rights to develop and commercialise novel antibiotic Iclaprim, and to raise sufficient funds to complete preparations to enter it into phase III clinical trials.

DLA Piper advises on Kuraray strategic acquisition

Global law firm DLA Piper has advised Japanese chemical manufacturer and synthetic fibre producer Kuraray Co., Ltd. on the acquisition of Plantic Technologies Limited. Kuraray is listed on the Tokyo Stock Exchange, and has a market capitalisation of over AU$6 billion.

Kuraray has acquired 100 percent of Australian-based Plantic Technologies from a company controlled by Gordon Merchant, the founder of Billabong, who purchased Plantic Technologies in 2010.

Acquisition of the Rochas brand

Osborne Clarke advises Majestic Wine on its £70m acquisition of Naked Wines

International legal practice, Osborne Clarke has advised the UK's largest wine specialist retailer, Majestic Wine plc, on its £70m acquisition of Naked Wines International Limited, the international online wine business.

The £70m deal combines Naked Wines' online and e-commerce skills and Majestic's national store network, and opens up attractive international growth opportunities in the USA and Australia. Rowan Gormley, founder and CEO of Naked Wines, will become the Chief Executive of the enlarged Majestic Wines group.

HBM acquires stake in APR

APR is a Swiss independent developer of science driven, patent protected healthcare products. The company identifies, develops and licenses value added products designed to address patient or consumer needs in selected therapeutical areas on a global basis.

Osborne Clarke advises Eltel Group Corporation on the purchase of Edi.Son Energietechnik

International legal practice Osborne Clarke has advised Eltel Group Corporation on the purchase of Edi.Son Energietechnik GmbH. Eltel is a leading European provider of technical services for critical infrastructure networks (Infranet), with a strong presence in the Nordic and Baltic regions, Poland and the United Kingdom.

The acquisition of Eltel will further strengthen the sectors of energy transfer and energy distribution in Germany. The acquisition is as yet subject to merger control clearance.

P&I Personal & Informatik Ltd. acquires business division HR from Soreco Ltd.

P&I Personal & Informatik Ltd. acquires the business division HR from Soreco Ltd, Schwerzenbach, Switzerland with retroactive effect from January 1, 2015. All employees at the current business locations in Bolligen and Schwerzenback are taken over as well as the HR products and the ongoing customer contracts. With the acquisition of Soreco HR AG the P&I Group consolidates its market position in Switzerland as an international HR technology company, whose products and service offering is established in the premium sector for human resource management systems.
