Addleshaw Goddard advises Daisy Group and Oakley Capital on their acquisition of Damovo

Addleshaw Goddard's Manchester corporate team has advised Daisy Group and Oakley Capital on their acquisitions of various parts of Damovo, the provider of voice-critical unified communications.

The Addleshaws team included partner Roger Hart, managing associate Jamie Partridge and associates George Danczak, William Ngan, Richard Oldroyd and Peter King.

King & Wood Mallesons advises Cerba European Lab on the acquisition of Novescia

King & Wood Mallesons advised Cerba European Lab on the acquisition of Novescia. The transaction is expected to close in the first quarter of 2015.

Cerba European Lab is a clinical pathology group active in all three sections of the market: routine clinical pathology, specialist clinical pathology and clinical trial pathology. Cerba European Lab comprises a network of 200 laboratories and over 150 sampling centres located primarily in France, as well as elsewhere in Europe and in the United States, South Africa, Australia and China.

Baker & McKenzie advised Air Liquide on acquisition of majority stake in Optimal Medical Therapies

Baker & McKenzie advised Air Liquide on the acquisition of a majority stake in the Optimal Medical Therapies Group (OMT), a leading German player in home healthcare services for patients in Germany suffering from chronic illnesses requiring infusion therapy. The transaction was closed at the beginning of 2015.

With this transaction Air Liquide has strengthened the development of its home healthcare activity in Germany. Air Liquide is a leading provider of infusion therapy in France and Northern Europe.

FIH, PKA, Maj Invest and LD acquire DSVM Group

The Danish financial institutions FIH, PKA, Maj Invest and LD today announced the acquisition of DSVM Group from private equity investment firm Triton

FIH, PKA, Maj Invest and LD will appoint a new board of directors consisting of Peter Korsholm, former partner of EQT, and Kent Arentoft, CEO of DLH. Following competition authority approval, Peter Korsholm and Kent Arentoft will acquire the company.

DLA Piper advises XING on the acquisition of the largest job search engine in the German-speaking region

DLA Piper has advised XING AG on the takeover of all shares in Intelligence Competence Center (Deutschland) AG.

The deal, will see XING AG paying a purchase price of some 6.3 million euro to all shareholders for 100 per cent of the shares. Depending on whether operating targets for 2015 and 2016 are achieved, the founder of Intelligence Competence Center AG may receive further purchase price payments up to a maximum of 2.4 million euro by February 2017.

Eversheds advises Places for People Group on acquisition of residential developer

ZeroC focuses on designing new and sustainable communities in conjunction with significant landowners, including the Homes & Communities Agency and The Duchy of Cornwall.

DLA Piper successfully represents HEICO in acquisition of Aerowork International Holdings

DLA Piper has represented HEICO Corporation (NYSE: HEI) in their acquisition of Aeroworks International Holdings, B.V. a Netherlands-based parts maker that has factory operations in Thailand and Laos. The purchase represents the largest international expansion yet for Heico.

HEICO manufactures replacement parts for the aviation, defense, space, medical, telecommunications and electronics industries. Aeroworks manufacturers of both composite and metal parts used primarily in aircraft interior applications, including seating, galleys, lavatories, doors, and overhead bins.

DLA Piper advises Israel Chemicals on company purchase

DLA Piper has advised the global Israeli food company ICL on the acquisition of milk protein specialist Prolactal.  In the course of the transaction ICL acquired Prolactal and its German subsidiary Rovita GmbH. Prolactal is a leading European manufacturer of milk proteins and other ingredients for the food and beverage industry based in the Hartberg, Austria and in Engelsberg, Germany. The contracts have already been signed, the approval of the Austrian and German antitrust authorities is expected within the current quarter.

A team from Taylor Wessing advises Arrow Electronics on its public bid for Data Modul AG. Goldman Sachs is financial advisor to Arrow on this transaction. Arrow Electronics, Inc. (NYSE:ARW), through its wholly-owned subsidiary in Munich, Germany (“Arrow CEHM”), is initiating an all-cash tender offer to acquire the shares of DATA MODUL Aktiengesellschaft Produktion und Vertrieb von elektronischen Systemen („Data Modul AG“) (FSE Prime Standard: DAM) for a purchase price of 27.50 Euros per share.
