Paul Hastings Represents Teleperformance USA in Acquisition of Aegis USA

Paul Hastings LLP, a leading global law firm, announced today that the firm represented global CRM leader Teleperformance USA in the successful completion of the $610 million acquisition of Aegis USA, Inc., a major outsourcing and technology company in the United States, the Philippines and Costa Rica.

Paul Hastings has been outside counsel for Teleperformance S.A. and its subsidiaries for over 20 years and has advised the company on numerous M&A transactions including its acquisitions of Teledatos, Merkafon de Mexico, H-Tel Holdings and AllianceOne Incorporated.

Gannett Acquires Full Ownership of Cars.com

Davis Polk is advising Greenhill & Co., LLC as financial adviser to Gannett Co., Inc. in connection its acquisition of the 73% interest it does not already own in Classified Ventures LLC, which owns Cars.com, for $1.8 billion in cash. The transaction, which is subject to regulatory approval and other customary closing conditions, is expected to be completed in the fourth quarter of 2014.

Simpson Thacher Represents Hellman & Friedman in Its Acquisition of ABRA Auto Body & Glass

The Firm is representing Hellman & Friedman LLC in connection with its announced acquisition of ABRA Auto Body & Glass from affiliates of Palladium Equity Partners, LLC, a private equity firm.  The transaction is expected to close in the third quarter of 2014, subject to customary closing conditions.

Baker & McKenzie Advises QST International Corp. on the Acquisition of ESKA Automotive

Frankfurt, Germany, August 2014. Baker & McKenzie advised the Boltun-QST-Group (QST), under the ownership of the Wu family from Taiwan, on the acquisition of ESKA Automotive GmbH (ESKA). The transaction was completed on 4 August.

The buyer QST was founded in 1985 in Tainan and is a listed company in Taiwan with focus on development, manufacturing and sales of mechanical fittings and cold formed parts for the automotive industry.

Armour Group’s Management Completes MBO

The Sheffield office of law firm Irwin Mitchell has advised on the management buy-out (MBO) of Armour Home Electronics. The transaction sees Armour’s Group’s Chief Executive George Dexter, along with fellow executives Nicky Spence and Chris Emerson, acquire the trading businesses of Armour Home Electronics and Armour Asia from their AIM listed parent company.
 
Armour Group plc, advised by the London office of Arnold & Porter, will become an investing company specialising in the technology sector following the deal.
 

Clifford Chance advises BNP Paribas on an agreement with UniCredit Bank AG to acquire the latter's interest in DAB Bank

Clifford Chance advised BNP Paribas with regard to an agreement with UniCredit Bank AG in order to acquire the latter's interest in DAB Bank of approx. 81.39%. By means of this transaction, BNP Paribas intends to considerably expand its digital banking business in Europe and to nearly double the number of its clients in Germany. The transaction is subject to customary closing conditions including regulatory and antitrust approval.

Chicago, IL - Paul Hastings LLP, a leading global law firm, announced today that the firm represented an affiliate of private equity firm Beecken Petty O’Keefe & Company in the acquisition of Kforce Healthcare, Inc., the health information management business of Kforce Inc. (NASDAQ: KFRC), a provider of professional staffing services and solutions, for $119 million.
 
Private Equity partner Brian Richards led the Paul Hastings team, which also included partners Chris Sheaffer, Ziemowit Smulkowski and Louis Hernandez and associates Holly Snow and Justin Taylor.
